Job summary

Hathway Cable Datacom is seeking a legal professional to handle commercial contracts, drafting and negotiation, and to contribute to litigation strategy in line with business goals.

The role involves drafting notices, pleadings, and legal opinions, along with coordinating with regulators and internal teams to ensure compliance and timely execution of agreements.

Qualifications

• Experience in drafting, negotiating and closing commercial & contractual agreements across multiple domains.
• Ability to strategize litigation aligned with commercial objectives.
• Strong understanding of broadcasting regulations and telecom policies.

Responsibilities

• Draft, review and negotiate commercial contracts including distributorship, SLA and service agreements.
• Draft pleadings, notices and litigation documents before courts and regulatory bodies.
• Assist in litigation strategy and regulatory compliance across corporate matters.
• Coordinate with internal teams and external stakeholders (TRAI, MIB) to support objectives.

Job description

Role & responsibilities

• a) Commercial contracts: Demonstrated (hands on experience) subject matter knowledge in structuring, drafting, negotiating and closing all types of Agreements including but not limited to Distributorship Agreement (CATV/ISP), Leave and License Agreements, Software technology agreements, master service agreements, syndication agreements, OTT agreements, value added services agreements, Procurement agreements, CALL centre agreements and services agreements.
• b) Drafting of pleadings, writ petitions, plaints, complaints, written statements, company petitions, appeals, revisions, winding up petitions, statements of claim etc. before TDSAT, Trial courts, High Court(s), Supreme Court;
• c) Drafting of various legal notices including replies thereof as per policy of the company
• d) Assist in strategizing and formulating litigation strategy in line with commercial objectives of the company
• e) Research and analysis of various policies, amendments, bills, consultation papers, notifications, on corporate law matters.
• f) Coordination/Meeting with TRAI and MIB Officials
• g) Preparation of various reports including notice manager

• d) Providing sound and practical legal advice pertaining to all corporate and contractual issues, inter alia, under contract law, IPR laws, etc.

• b) A good understanding and application of broadcasting Regulation such as the Interconnection Regulation, Tariff Order, Quality of Service enacted by TRAI, Knowledge of ISP and E-commerce, Digital Media would be a plus.
• A reasonable understanding of Civil Procedure Code, Criminal Procedure Code, India Penal Code, Arbitration Laws, Legal Metrology Act,
• a) Contract Laws, Negotiable Instrument Laws, Intellectual Property Laws, IT Act, Telegraph Act and other economic offenses statutes.
• b) Experience in drafting, negotiating, rights and technology contracts, understanding of the regulatory regime in distribution is perquisite.
• c) Demonstrated (hands on experience) in contract drafting, good negotiation, and execution skills i.e., ability to draft, negotiate and close transactions independently with minimal supervision
• d) Should have excellent research, analytical skills and should be able to exercise judgment and discretion to opine on compliance/ legal issues effectively.
• Should enhance industry specific understanding and be an effective negotiator.
