Job summary

Moritz is expanding its co-counsel network in Ireland, seeking an experienced M&A/corporate lawyer for end-to-end deal work including drafting, reviewing, and negotiating SPAs, APAs, and ancillary documents. You will run due diligence, coordinate multi-disciplinary teams, and advise on structuring, earn-outs, and closing mechanics.

The role offers flexible engagement on a project or retainer basis, alongside your existing practice, within a well-funded, AI-enabled legal infrastructure.

Qualifications

The Role

• Serve as co-counsel for Moritz's M&A work in Ireland: share and asset deals, mergers, carve-outs, and joint ventures for clients ranging from startups to midsize companies.
• Lead the drafting, review, and negotiation of SPAs and APAs, disclosure schedules, warranties and indemnities, and ancillary transaction documents.
• Run legal due diligence, coordinate specialist workstreams (tax, employment, IP, regulatory), and manage the transaction timeline through signing and closing.
• Advise on deal structuring, earn-outs and deferred consideration, W&I insurance, closing mechanics, and post-closing matters.
• If you accept work with a known SLA (ex: 24hr turnaround), you must commit to meeting that SLA.

What You'll Bring

• 5+ years practising M&A or corporate law in private practice or in-house.
• End-to-end deal experience. You've led transactions from term sheet through closing, not just supported workstreams.
• Deep familiarity with transaction documents — SPAs, APAs, disclosure letters, warranty and indemnity regimes, and completion mechanics.
• Due diligence command. You can scope, run, and synthesize a diligence exercise into findings a buyer can act on.
• Cross-border fluency. Comfortable coordinating with counsel in other jurisdictions on multi-country deals.
• Qualifications. Active license and in good standing with the bar / law society of Ireland. Professional indemnity insurance maintained or willing to obtain in line with local requirements.

Moritz is a law firm and engages clients directly; co-counsel are engaged by Moritz on an independent contractor basis to support those client matters under Moritz's supervision and quality standards. Moritz handles client intake, billing, conflicts checks, and matter management, so you can focus on the legal work.
