Job summary

MatchaTalent is recruiting for a Senior Legal Manager in North Jakarta, Indonesia. The role leads corporate legal compliance, capital market governance, contract management, and regulatory affairs.

Fluency in Mandarin, English, and Bahasa Indonesia is required to liaise with the HQ and regulators. The successful candidate will oversee RUPS/GMS, mandatory disclosures, and complex corporate actions, with extensive experience in listed companies or top-tier law firms.

Qualifications

• Master’s Degree in Law from a reputable university.
• At least 10 years of progressive legal experience in publicly listed company or corporate law firm handling capital market matters.
• Strong knowledge of Indonesian Company Law, Capital Market regulations, OJK and IDX regulations (POJK 17 & POJK 42).
• Fluent in Mandarin, English, and Bahasa Indonesia for cross-border and internal coordination.

Responsibilities

• Lead corporate legal and capital market compliance per Indonesian laws and IDX rules.
• Manage mandatory disclosures, material transactions, and related-party transactions.
• Oversee AGM/RUPS/GMS preparation and documentation.
• Provide legal support for corporate actions including issuances, acquisitions, and restructurings.
• Draft, review, and negotiate contracts in Indonesian, English, and Mandarin.
• Establish and maintain contract templates and a contract database.
• Lead legal risk assessments and provide actionable advice for operations and financing.
• Manage disputes with internal teams and external counsel; coordinate cross-border matters.
• Monitor regulatory developments (OJK, IDX, labor, foreign investment) and advise management.
