Job Description

Corporate Secretary & Governance



  • Lead and manage the Corporate Secretary function, supporting the Board and Chairperson in fulfilling duties effectively and in line with laws and governance best practices.


  • Ensure Board meetings, shareholder assemblies, and governance processes are well organized, compliant, and properly documented.


  • Oversee corporate governance matters, including documentation, company law compliance, and stakeholder relations.


  • Act as Compliance Officer, ensuring adherence to Capital Market Law, IDX regulations, Company Law, and the Articles of Association.


Legal Leadership & Risk Management



  • Oversee the Legal Services Department, ensuring legal compliance across contracts, operations, and regulations.


  • Provide legal advice on strategy, investments, partnerships, M&A, and key transactions.


  • Identify and manage legal risks, working closely with the Board and business units.


  • Serve as Liaison Officer for OJK and IDX on all capital market-related matters.


Financial Analysis & Strategic Insight



  • Deliver strategic financial analysis for transactions, planning, and investment decisions.


  • Collaborate with finance and investor relations to present data to the Board.


  • Support due diligence for M&A, fundraising, and joint ventures, aligning legal and financial evaluations.


  • Ensure alignment in legal-financial reporting, budgeting, and governance processes.


Corporate Communications



  • Lead Corporate Communications to ensure clear, timely public and media messaging.


  • Oversee external communication strategy, including press, crisis response, and website management.


Environment, Social & Governance (ESG)



  • Drive the ESG roadmap, coordinating improvements across divisions and enhancing ESG practices.


  • Ensure alignment with international standards and improve the company's ASEAN Governance Scorecard performance.


  • Support ESG integration in operations and disclosures.


Investor Relations



  • Support the Board and CFO in analyst briefings and investor meetings.


  • Oversee financial and performance reporting.


  • Strengthen visibility and relationships with institutional investors and analysts.

The Successful Applicant



  • Minimum 18 years of progressive experience in legal, governance, and financial roles, ideally within listed companies or highly regulated industries.


  • Bachelor's Degree in Law is required; Master's in Law, Finance, or Business Administration is highly preferred.


  • Certified legal practitioner in Indonesia (e.g., PERADI) with strong understanding of capital market regulations and corporate law.


  • Demonstrated experience working with the Board of Directors, OJK, IDX, and other regulatory bodies.


  • Strong grasp of financial principles and the ability to analyze, interpret, and communicate complex financial data and legal implications.


  • Track record of leading high-impact teams across legal, communications, and investor relations.


  • Proven ability to manage sensitive legal and financial issues with discretion, strategy, and business acumen.


  • Excellent interpersonal and stakeholder engagement skills, including media relations, public speaking, and investor communication.
