About the role

The Legal Manager will be responsible for managing all legal aspects of Forest Carbon’s business operations. This includes ensuring strict compliance with relevant laws, regulations, and industry standards to safeguard the company’s reputation and minimize legal risks. The role also involves providing strategic legal guidance and support to executive management on a wide range of issues. Reporting directly to the Director of Legal, the Legal Manager will play a key role in shaping the company’s legal strategy, addressing complex legal challenges, and contributing to the overall success of Forest Carbon’s operations.

Key Responsibilities

  • Draft agreements, contracts, and other legal documents to ensure the company is in full legal compliance, including assisting the Executive team in the preparation of conservation projects contracts. Mitigate risks to the company and its projects through review and risk assessment.
  • Manage and oversee all engagements with external legal providers, accountable for keeping all external legal costs within budget and delivered on time.
  • Support and manage the legal aspects of mergers and acquisitions (M&A) deals, including but not limited to conducting thorough due diligence, performing KYC checks on key principals, reviewing transaction documentation, ensuring regulatory compliance, and assessing and mitigating potential risks. Additionally, manage communication with internal and external stakeholders to ensure smooth deal execution.
  • Prepare memos and presentations on the state of carbon regulatory policies in Indonesia and beyond, as requested by the Executive team. Attend related meetings and provide legal input as necessary.
  • Support the procurement department on contractual matters to ensure alignment with legal standards and company objectives.
  • Under the guidance of the Director of Legal and External Affairs, support the compliance function across the company, ensuring that corporate legal documents (e.g., work permits, business licenses, insurance, and other corporate housekeeping documents) are aligned with existing laws and regulations.
  • Draft and manage the scope of work for an Indonesian law firm to serve as corporate secretary, evaluating different cost options to ensure the best value.
  • Actively contribute to the development and refinement of internal processes and policies related to the legal department, driving operational improvements and enhancing overall efficiency.
  • Research and stay abreast of evolving laws, policies, and best practices related to environmental services and carbon markets in Indonesia and beyond, ensuring Forest Carbon’s compliance with regulations.
  • Serve as a liaison between Forest Carbon and external parties as needed such as law firms, clients, and regulatory bodies, ensuring clear, timely communication and fostering productive working relationships.

Qualifications

  • Proven experience as a corporate lawyer (5-7 years), with experience in law firms considered a plus.
  • In-depth knowledge of corporate law and procedures, with expertise in carbon markets and environmental law seen as an advantage.
  • Strong educational background in law, with an advanced degree (LLM or MH) preferred.
  • Ability to collaborate effectively with cross-functional teams and external stakeholders while managing multiple tasks and deadlines.
  • High level of professional ethics and integrity.
  • Experience working with multi-disciplinary and intercultural teams.
  • Exceptional problem-solving skills paired with strong attention to detail.
  • Excellent interpersonal and communication skills in both Indonesian and English.
