Job Description
Key Responsibilities:
- Lead and support a range of capital markets transactions, including initial public offerings (IPOs), rights issues, private placements, debt securities issuances, and medium-term note (MTN) programs.
- Draft, review, and negotiate key transaction documents such as prospectuses, subscription agreements, underwriting agreements, indentures, and disclosure documents in both Bahasa Indonesia and English.
- Advise clients on regulatory compliance with OJK (Financial Services Authority), IDX (Indonesia Stock Exchange), and other regulatory bodies, ensuring alignment with prevailing capital markets laws and listing requirements.
- Conduct legal due diligence for capital markets transactions, managing timelines and liaising with internal and external stakeholders to ensure smooth transaction execution.
- Provide clear, commercially sound legal opinions and strategic recommendations to clients and partners throughout the transaction lifecycle.
- Collaborate with senior partners, international counsel, investment banks, and corporate clients on cross-border and domestic deals.
- Attend and lead client meetings, presentations, and negotiations, demonstrating strong ability to articulate legal issues in a practical and client-friendly manner.
- Keep abreast of evolving capital markets regulations and legal developments to proactively identify risks and opportunities for clients.
- Mentor junior associates and contribute to knowledge sharing and business development initiatives within the firm.
The Successful Applicant
Key Requirements:
- 7-12 years of Post-Qualification Experience (PQE) with a strong focus on capital markets work, particularly in equity and debt transactions.
- Minimum of 5 years' full-time experience in a reputable law firm, with a proven track record of leading or supporting significant capital market mandates.
- Demonstrated ability to manage complex transactions and navigate multi-stakeholder environments with professionalism and poise.
- In-depth knowledge of Indonesian capital market regulations, including OJK rules, IDX listing requirements, and relevant securities laws.
- Excellent drafting and analytical skills, with the ability to prepare and review bilingual legal documents (Bahasa Indonesia and English) at a high standard.
- Exceptional verbal and written communication skills in English - able to clearly present legal arguments, lead negotiations, and advise both local and international clients.
- Strong interpersonal and client-facing skills, with the confidence to manage client expectations and build lasting professional relationships.
- High level of commercial awareness and solution-oriented thinking, with the ability to balance legal risk with business needs.
- A team player who thrives in a collaborative and fast-paced environment, while being able to work independently when needed.
