Job summary

HONG KONG FUSHAN VAYU ENERGY TECHNOLOGY CO., LIMITED is seeking a senior lawyer to lead full-cycle legal workstreams for renewable energy and infrastructure M&A, including deal structuring, due diligence, and post-closing integration.

The role requires designing cross-border transaction structures, drafting and negotiating EPC/O&M contracts, PPAs, and financing documents, and advising on lender requirements to ensure bankability.

Qualifications

• Qualified lawyer in Hong Kong or another jurisdiction.
• Extensive experience in international energy/infrastructure deals.
• Proven cross-border M&A, project finance, and asset disposal/exit transactions.
• Bilingual in English and Chinese (Mandarin) at professional level.
• Willingness to travel.

Responsibilities

• Lead full-cycle legal workstreams for renewable energy and infrastructure M&A: deal structuring, due diligence, document drafting and negotiation, regulatory approvals, closing, and post-closing integration.
• Design transaction structures (SPA, SHA, JV, Holdco, SPV) balancing commercial objectives with regulatory constraints across jurisdictions.
• Conduct legal risk assessments and draft internal opinions for executive/board decisions.
• Negotiate and draft core project documents: EPC, O&M, PPAs, fuel supply, leases, and grid connection.
