The role covers HKEX compliance, Takeovers Code transactions, and cross-border corporate deals within a premier capital markets practice.

The ideal candidate will advise issuers and sponsors, draft complex documentation, and support high-profile transactions with top-tier training and exposure.

Qualifications

• Qualified lawyer with 2–5 PQE in corporate law or capital markets.
• Experience in regulatory compliance for HK-listed companies.
• Exposure to HKEX Listing Rules and Takeovers Code.

Responsibilities

• Advise HKEX-listed issuers, controlling shareholders, and corporate clients on regulatory compliance and disclosure obligations under HKEX and SFC rules.
• Structure and execute public M&A, takeovers, privatisations, and general offers under the Takeovers Code.
• Draft, review, and negotiate transaction documents, circulars, announcements, board resolutions, and regulatory submissions.
• Handle post-listing compliance projects, including connected transactions and major acquisitions.
• Conduct regulatory research, deliver risk assessments, and communicate with regulators and counsel.

• Advise HKEX-listed issuers, controlling shareholders, and corporate clients on ongoing regulatory compliance, corporate governance, and continuous disclosure obligations under the HKEX Listing Rules and SFC regulations.
• Structure and execute public M&A, takeovers, privatisations, and general offer transactions governed by the Hong Kong Codes on Takeovers and Mergers and Share Buy-backs (Takeovers Code).
• Draft, review, and negotiate transaction documentation, circulars, announcements, board resolutions, and submissions to regulatory authorities including the HKEX and SFC.
• Handle complex post-listing compliance projects, including connected transactions, major and disclosable acquisitions, and secondary fundraising initiatives.
• Conduct in-depth regulatory research, deliver concise risk assessments, and maintain proactive communications with internal stakeholders, external counsel, and institutional regulators.

skills & experience required.

• Qualified lawyer with 2 to 5 years of post-qualification experience (PQE) in corporate law or capital markets.
• A minimum of 2 years of relevant experience focused on regulatory compliance for Hong Kong-listed companies.
• Formally trained at a top-tier international law firm or a leading PRC law firm with substantial exposure to Hong Kong capital markets.
• Hands‑on experience advising on HKEX Listing Rules compliance, with exposure to capital markets transactions and Takeovers Code‑related deals.
• Excellent command of written and spoken Chinese (Mandarin and/or Cantonese) and English to draft legal documentation and advise cross‑border clients.
• Outstanding legal research, analytical reasoning, and client communication skills; prior finance or accounting knowledge is advantageous.
