Job summary

The Maples Group seeks a Hong Kong-based Paralegal to support its Corporate Team. The role involves handling formation, maintenance and filing for Cayman and BVI entities, drafting agreements, and coordinating with overseas offices.

Strong ethics and client service mindset are essential. Ideal candidates bring 2–3 years of corporate paralegal experience, the ability to manage high volumes under pressure, and fluency in English and Chinese.

Qualifications

  • Minimum 2-3 years' relevant corporate paralegal experience.
  • Ability to work under pressure, managing high volume of instructions while meeting deadlines.
  • Flexible, proactive and willing to learn, good team player and self-motivated with a strong sense of responsibility.
  • Fluent in spoken and written English and Chinese.

Responsibilities

  • Responding to client enquiries regarding formation, maintenance, strike-off/liquidation of companies and partnerships, and a broad range of corporate transactions.
  • Explaining costs involved in attending to enquiries.
  • Preparing formation documents for companies and partnerships and handling post-formation filings.
  • Drafting agreements, resolutions, minutes and documents based on firm precedents; coordinating notarisation, legalisation and apostille; liaising with overseas offices and clients.
  • Preparing documents for submission to Cayman Registrar, Cayman Islands Monetary Authority, BVI Companies Registry and BVI Financial Services Commission.
  • Liaising with corporate administration for filings with Cayman and BVI authorities.
  • Attending internal administrative work and preparing legal opinions and director certificates.
  • Maintaining registers for directors, officers, members and mortgages for Cayman and BVI entities.
  • Preparing fee breakdowns and responding to client invoice queries.
  • Drafting corporate documents related to board/officer changes and shareholding changes.

About the Role

The Paralegal reports to all Corporate Partners and supports the Corporate Team in the Hong Kong office. Primary responsibilities include:

  • Responding to client enquiries regarding the formation, ongoing maintenance, strike‑off / liquidation of companies and partnerships, as well as a board range of corporate transactions, including but not limited to changes to the companies and partnerships names and updates to their statutory corporate registers
  • Explaining to clients the costs involved in attending to the above-mentioned enquiries
  • Preparing formation documents for companies and partnerships and attending to post‑formation and filing procedures
  • Drafting agreements, resolutions, minutes and documents based on firm precedents as well as preparing documents for notarisation, legalisation and apostille and liaising with our overseas offices and clients to ensure such instructions are supervised and completed on time
  • Preparing a variety of documents for submission to the Cayman Registrar, the Cayman Islands Monetary Authority, the BVI Companies Registry and/or the BVI Financial Services Commission
  • Liaising with the corporate administration team for all necessary filings/registration to be made with the Cayman and BVI authorities
  • Attending to internal administrative work
  • Preparing legal opinions (including related director certificates, board and shareholder resolutions/minutes)
  • Preparing and maintaining registers of directors and officers, register of members and registers of mortgages and charges for both Cayman and BVI companies
  • Preparing fee breakdowns and reverting to client queries on invoices as and when required
  • Drafting corporate documents on various matters including, but not limited to, documents relating to the changes to the board of directors and officers and changes in the shareholding of both Cayman and BVI companies
