Job summary

Huatai International Financial Holdings Company Limited, the overseas subsidiary of Huatai Securities, seeks a legal professional to handle overseas and cross-border derivatives documents from a legal and compliance perspective, including equities, commodities, bonds or other underliers.

You will cooperate with structuring, trading and sales teams to draft, negotiate and finalize ISDA/CSA/GMSLA and related agreements; participate in developing new derivatives products and cross-border

Qualifications

• Master's degree in law; relevant legal qualification preferred (onshore or offshore).
• 5-7 years of working experience in legal field, ideally with derivatives or financial industry exposure.
• Familiar with derivatives trading documents and capable of independent drafting and negotiation.
• Strong ownership, quick learner, logical thinking, and team spirit.
• Proficiency in both Chinese and English, written and spoken.

Responsibilities

• Oversee overseas and cross-border derivatives documents from legal and compliance perspectives, including equities, commodities, bonds or other underliers.
• Draft, review and revise ISDA/CSA/GMSLA/PB/MCA/TS/Structured Notes and related agreements and confirmations; negotiate terms.
• Develop new derivatives products and structures for cross-border transactions; reflect structuring terms in project documents; mitigate risks.
• Design terms to reduce compliance, legal and reputational risks; coordinate with internal and external legal/compliance, risk management and operations teams.
• Review and update legal document templates; provide training to business departments; coordinate with external counsels and manage fees.

Job Description

• Responsible for overseas and cross-border derivatives product or transaction related documents from legal and compliance perspective, including equities, commodities, bonds or other underliers;


• Cooperate with structuring, trading and sales teams to complete the negotiation, communication and document drafting of ISDA/CSA/GMSLA/PB/MCA/TS/Structured Notes and other derivatives transaction related agreements and confirmations


• Participate in the development of new derivatives products and new derivatives structures of onshore or overseas underlier according to regulatory trends and business needs, reflect relevant structuring terms in derivatives product and project documents, and design relevant provisions to reduce compliance, legal, and reputational risks;


• Participate in the design of cross-border structured derivative products, provide cross-border customers with hedging risk solutions, and design relevant agreement terms to reduce business risks;


• Communicate with internal and external legal & compliance, risk management and operations departments, draft and revise transaction documents, account opening and transaction procedures and project risk assessment;


• Draft, review and revise various legal agreements, risk disclosure statements and DISCLAIMERS in order to meet the ad hoc or specific needs of the business and customers;


• Regularly review and update relevant legal document templates, and provide relevant training to business departments in a timely manner; and


• Coordinate with and manage the external counsels, supervise their delivery and deal with the fees quotes and payment procedure

Qualifications

• Master's degree or above in law-related majors from well-known law schools, preferably with relevant legal qualification (onshore or offshore);


• 5 - 7 years of working experience in legal filed, preferably with relevant experience in derivatives or financial industry;


• Familiar with legal knowledge and documents related to derivatives trading, and capable of legal drafting and negotiation for derivatives transactions independently;


• Take ownership, quick learner, strong logical thinking, good communication skills and strong team spirit;


• Good spoken and written Chinese and English.
