Job description

Quix Recruitment is supporting a prestigious offshore legal and professional services firm in hiring a Vice President – Company Secretary, based in the Cayman Islands.

This is a senior client-facing governance role, responsible for overseeing a diverse portfolio of entities, managing board and shareholder meetings, and delivering best-in-class company secretarial services across multiple jurisdictions.

Please note this role is based in the Cayman Islands and is open to candidates willing to relocate. A comprehensive relocation package will be provided to support a smooth transition.

This opportunity will suit an experienced governance professional with a strong background in offshore financial or legal services, excellent attention to detail, and the ability to thrive in a fast-paced, high-accountability environment.

Key Responsibilities

Governance & Company Secretarial Support

  • Deliver full company secretarial services to a broad client base including hedge funds and private equity firms.
  • Manage board, advisory, and shareholder meetings – including setting agendas, collating and distributing meeting packs, and acting as company secretary for minute-taking purposes.
  • Draft, finalise, and circulate detailed minutes and manage all post-meeting actions and filings

Client Relationship Management

  • Act as the main point of contact for a varied portfolio of clients.
  • Liaise with attorneys, directors, clients, and third-party service providers on all governance and administrative matters.
  • Ensure consistently high standards of client service delivery.
Corporate Governance Oversight
  • Oversee governance and regulatory administration for multiple entities across jurisdictions.
  • Stay informed of evolving corporate governance best practices and apply them within the client base.
  • Support internal corporate governance projects, including documenting procedures and protocols.

Operational & Financial

  • Manage invoicing and Accounts Receivable (AR) for your client portfolio.
  • Carry out additional responsibilities and ad hoc governance tasks as required by the business.

Qualifications

  • Bachelor’s degree in Law, Business, or a related discipline, with a strong academic background.

Experience

  • Minimum of 5 years’ experience in a relevant company secretarial or corporate governance role, ideally within offshore legal or financial services.
  • Previous experience with corporate governance requirements in the Cayman Islands or a comparable offshore jurisdiction.
  • Proven ability to manage, attend, and coordinate board and shareholder meetings, with accurate and timely minute-taking.
  • Strong project management capabilities, with experience handling multiple deliverables to deadline.
