Job description

A leading international law firm is seeking an ambitious and technically strong UK-qualified capital markets associate with 2–3 years’ post-qualification experience to join its highly regarded London-based team.

The Role:

The successful candidate will focus on UK equity capital markets (ECM) transactions, with particular exposure to London Stock Exchange listings, including standard and premium listings, as well as secondary offerings and related regulatory matters. The role offers the opportunity to work on some of the most high-profile and innovative ECM deals in the market, alongside a team of experienced partners and associates.

Key Responsibilities:

  • Advising on UK ECM transactions, including IPOs, direct listings, and secondary offerings.
  • Providing legal and regulatory advice on the UK Listing Rules, Disclosure Guidance and Transparency Rules (DTRs), the UK Market Abuse Regulation (UK MAR), and related FCA and LSE regulatory frameworks.
  • Liaising with the Financial Conduct Authority (FCA), London Stock Exchange (LSE), and other relevant regulators.
  • Supporting cross-border capital markets transactions involving both UK and US securities law aspects.
  • Participating in broader capital markets mandates, including debt capital markets (DCM) work where relevant.

Candidate Profile:

  • UK-qualified solicitor with 2–3 years’ post-qualification experience in capital markets.
  • Solid ECM experience from a leading law firm, ideally involving London listings.
  • Familiarity with FCA and LSE processes and regulations, including the UK Listing Rules, DTRs, and MAR.
  • Experience working with or alongside US counsel on Rule 144A or SEC-registered transactions is advantageous but not essential.
  • Strong technical skills, attention to detail, and a collaborative approach.

Why Apply:

  • Work on market-leading transactions, including major listings and de-SPAC transactions under the FCA’s evolving regulatory regime.
  • Join an integrated transatlantic team with the opportunity to gain exposure to both equity and debt products.
  • Collaborate closely with highly experienced capital markets partners who have built their careers at the firm.
  • Develop a global perspective by working with issuers and investors across multiple jurisdictions.

This is a unique opportunity for a UK ECM lawyer to expand their practice in a collaborative and high-performing team with significant international reach.
