Job description




The Senior Counsel II will be a key legal advisor in the negotiation, drafting, and administration of Master Service Agreements (MSAs) and other corporate contracts, and in assisting on corporate compliance initiatives, Human Resources (HR) legal matters, and on risk management litigation. The ideal candidate will have expertise in corporate law, contract law, compliance issues, and experience handling HR-related legal concerns.
Key Responsibilities:
  1. Negotiation and Administration of Corporate Contracts:
    • Lead the negotiation, drafting, and review of MSAs, service agreements, and other corporate contracts.
    • Provide legal support for all aspects of contract management, including risk assessment, compliance with terms, and dispute resolution.
    • Ensure that contracts align with company policies and protect business interests.
  2. Compliance:
    • Advise and ensure adherence to legal and regulatory requirements, including industry standards and best practices.
    • Develop and implement compliance policies and procedures to minimize legal risk.
    • Coordinate with internal departments to ensure compliance across various functions, such as finance, HR, and operations.
  3. Human Resources Matters:
    • Provide legal counsel on HR-related issues, including employee relations, employment disputes, and compliance with labor laws.
    • Oversee the legal aspects of hiring, terminations, compensation, employee benefits, workplace safety, and discrimination issues.
    • Advise HR departments on employment law issues such as wage and hour compliance, wrongful termination claims, and workplace harassment.
  4. Risk Management and Litigation:
    • Advise on risk management strategies to mitigate legal and financial risks across the organization.
    • Manage or coordinate internal and external legal resources for corporate litigation matters, including employment-related litigation, commercial disputes, and regulatory investigations.
    • Analyze potential legal risks in business operations and provide actionable recommendations to senior leadership.
  5. Collaboration with Leadership:
    • Work closely with senior management, business unit leaders, and other departments to provide legal guidance that aligns with the company's strategic goals.
    • Act as a trusted advisor on various legal matters, offering proactive solutions to avoid legal issues.
    • Monitor changes in law and regulations and advise the company on necessary adjustments to policies or practices.
  6. Corporate Governance and Legal Strategy:
    • Support corporate governance initiatives by ensuring compliance with internal policies and external legal requirements.
    • Develop legal strategies to address emerging business challenges, including changes in law or market conditions.




JOB REQUIREMENTS



  • Education: J.D. from an accredited law school.
  • Experience:
    • At least 5 years of experience in a corporate legal environment, with a focus on contracts, compliance, HR matters, and risk management litigation.
    • Experience managing complex contract negotiations and corporate legal matters at a senior level.
    • In-depth knowledge of relevant laws, including corporate law, employment law, and regulations affecting business operations.
  • Skills:
    • Strong negotiation skills, with the ability to balance legal, business, and operational requirements.
    • Ability to provide practical, business-focused legal advice to senior leadership.
    • Ability to manage multiple projects and meet deadlines
    • Excellent written and verbal communication skills.
    • Strong interpersonal skills: a team player who works effectively with others at all levels and in all disciplines in a team collaborative environment
    • Strong analytical skills and attention to details
    • Ability to manage multiple projects and priorities in a fast-paced environment
  • Licensing: Active license to practice law in the relevant jurisdiction
Active member of the State Bar Association of Texas
Preferred Qualifications:
  • Experience with international contracts and regulations.
  • Knowledge of specific industry regulations (e.g., healthcare, technology, manufacturing, etc.).
  • Strong background in corporate governance and internal investigations.
Position will be filled a level commensurate with experience.
