The Department

The Corporate department provides practical and expert advice on all aspects of buying, selling, structuring, and investing in businesses. They regularly liaise with specialists in other commercial teams to provide clients with a truly comprehensive service. The team works with a diverse client base, including financial institutions, HNW individuals, family owned and owner managed businesses, private investors, mid-level corporates as well as start-ups. Recognised in the Legal 500 for its work, the team’s expertise spans acquisitions and disposals, restructurings and reorganisations, private equity and venture capital, joint ventures, shareholder agreements, fundraising and investment, and LLPs and partnerships. You will join a small but growing team, working directly with four partners and have daily exposure to a vast range of clients. The firm is dynamic and Associates are actively encouraged to develop their own networks while playing a key role in business development.

The Role

This role would suit an ambitious Associate from a leading Corporate practice, ideally with 3–6 years’ PQE, although candidates outside this range will also be considered.

As an Associate, you will take responsibility for running your own deals, including drafting and negotiating heads of terms, asset/share purchase agreements, and disclosure letters, managing the disclosure process, drafting ancillary documents and managing transactions to exchange and completion and handling post-completion matters. You\'ll take part in business development activities and building strong relationships with the firm’s client base.

You will have:

• Experience in transactional M&A, acting for buyers and sellers on share and asset sales/purchases.
• The ability to deal with clients directly and a genuine enthusiasm for business development.
• Strong drafting, analytical, and problem-solving skills.
• A collaborative approach and the ability to work well under pressure.
• Good financial performance and excellent IT skills.
• An ambitious mindset and a drive to progress.
