We have an exciting opportunity for you to join our team as Senior Manager - Entity Management Solutions. Reporting to the Global Delivery Director, Entity Management Solutions, this full-time and permanent position is based in United Kingdom and offers regional coverage, allowing you to make a significant impact to our Corporate Department and it's growth.
Purpose of Role
This is an exciting new role within a new and growing service line within Vistra.
A typical Entity Management Solutions (EMS) client is a relatively large corporation, with its group structure already established, covering multiple jurisdictions. The client requires assistance in ensuring its global group is and remains compliant with local laws. The focus is on company secretarial, corporate compliance and other such non-fiscal entity compliance and governance. Usual contact point is General Counsel/legal teams, Company Secretariat or for the smaller organisations the CEO or CFO.
The Sr. Manager will support the Global Director in being part of the operational team that provides a single point of accountability for the client relationship and service delivery of EMS. The role will include liaising with Vistra local offices and relevant local service providers to ensure a smooth and efficient service to client. It is anticipated the EMS team will be a centre of excellence for entity management, creating best in class operational efficiency. This role is integral to its success.
The Sr. Manager will help manage a team of professionals who maintain client portfolios across multiple markets, managing risk and ensuring compliance, whilst proactively identifying issues and developing client driven solutions.
The successful candidate will be required to demonstrate the following:
- Gaining experience in governance and company secretarial matters to provide a best-in-class EMS service.
- Ability to develop a team of high performing professionals who can work with clients, colleagues and suppliers across multiple locations to develop and execute good client service.
- Developing strong/enduring client relationships which ensure year on year growth.
- Developing tailored solutions to client challenges, and working with colleagues to provide practical solutions.
- Building the relationships with stakeholders, within clients, Vistra network and service providers to ensure right first time, optimum service delivery at optimal price.
- Maintaining an internal governance framework to ensure risk and compliance standards in client portfolio, in collaboration with Compliance team.
- Delivery against a set budget.
- Strong collaboration and influencing skills to create a dynamic environment of growth from existing clients (upsell/cross-sell) and growth from new clients.
- Helping the Global Delivery Director manages the teams
ScopeThe Sr. Manager will be responsible for:
- Support a team of UK personnel to deliver operational service excellence to clients requiring global co sec and subsidiary governance.
- Contribute to identifying and implementing technology enhancements for internal and external service delivery excellence.
- Maintain client service delivery whilst working to keep setting team budgets.
- Working to meet industry beating SLAs, set for the team to maintain a market leading position.
- Being part of operational service delivery, ensuring consistent net promotor scores and client satisfaction.
- Liaising with colleagues for mutual cross sell up sell opportunities.
- Manage relationships with Vistra's extended partner network to maintain consistency and quality across international service delivery to our clients.
Key Responsibilities- Being part of a team helping to manage ongoing contractual relationships to clients for EMS.
- Working collaboratively with colleagues and partners to deliver contracted services to clients to ensure that SLAs as defined in the relevant contracts are met or exceeded.
- Ensure all work performed is invoiced on time and in line with client contracts.
- Continuing to update technical expertise, qualifications and experience required to provide the Service.
- Promote the organisation's capabilities to clients, identify sales opportunities, working with colleagues to achieve contract extensions or new and additional business.
- Manage the delivery of services from external service provider to clients and proactively escalate where expectations are not met.
- Help team leaders with planning to ensure that operational capacity matches demand.
- Flag anticipated SLA issues in a timely manner to line manager so that a resolution can be agreed.
- Ensure SLAs are met and compliance requirements adhered to.
- Helping to grow awareness of EMS as a service line.
- Manage the CPD programme for your operation to required levels for the Service.

- Ability to see and implement changes to process to improve service delivery to clients and improve profitability from the services provided.
- Ability to identify issues and bring in experts to solve client and internal issues.
- Lead against priorities and deadlines, manage team workloads.
- Sound knowledge of relevant regulatory requirements and standards.

Relevant Experience- A strong working knowledge of governance and company secretarial matters.
- Strong experience of having worked in global services environment and a client facing role.
- Evidence of having managed a team.
Education and Professional Qualification• Educated to degree level or qualified through experience.
• Experience of and/or qualifications in company secretarial or legal matters an advantage.
