Job description

Hutcheon Mearns are working exclusively with a leading UK-based oil and gas company focused on the exploration, development, and production of assets in the North Sea. Headquartered in Aberdeen, this organisation has an unwavering commitment to the north sea. The Deal & Project Finance Manager (supported by the Corporate Finance team) is the focal point for all financing related activities supporting M&A evaluation and execution, including modelling, financial DD and debt related activities. The Deal & Project Finance Manager will also support financing projects including refinancing and net debt raise (bond issuances, etc.), corporate finance process improvement projects, preparation of investment papers and will take ownership of delivering relevant sections in any deal related regulatory requirements under the LSE regulations.

Key Responsibilities

M&A and Debt financing Support

  • Quickly develop an understanding of the target business and its drivers
  • Provide pre deal funding options analysis and standalone and integrated economic model support to the M&A team
  • Collaborate across various departments and subject matter experts (internally and externally)
  • Interpretation and due diligence of financial information, information memoranda, publicly available information on the target business
  • Evaluation of potential synergies and appropriately reflect this in the valuation models
  • Reporting of potential key issues including identification of risk or price affecting considerations to the DCFO / CFO and M&A deal team
  • Review of sale and purchase agreement alongside legal team and correlating findings of due diligence process therein
  • Preparation of databooks and relevant analysis such as EV to equity bridge, source and uses for the M&A transaction as required
  • Raise questions and additional information requests via M&A team
  • Support with any debt financing discussions
  • Take ownership of deal close financing processes including credit rating agency, fairness opinions, deal prospectus support (where relevant) and deal related finance closures
  • Preparation and input into the investment case / Board material for CFO review
  • Assist in setting up and managing datarooms for corporate finance related information
  • In case external DD experts are hired, then proactively manage due diligence advisors and process, budget, engagement letters, etc and regularly report any finding to the CFO and M&A deal team
  • Support any relevant finance integration and interim period requirements

Other

  • Support CFO in managing and enhancing relationship with the existing and potential debt providers and gathering market intelligence
  • Preparation of summary materials, presentations and reports as required by the CFO
  • Liaise with accountants, lawyers, financial experts and regulatory bodies, as required
  • Ad-hoc involvement with strategic initiatives as required

Background and Experience

  • Bachelor's degree in Accounting, Finance, or a related field. CA or equivalent qualification preferred
  • Exceptional communication and stakeholder management skills, capable of effectively interacting with senior management and external partners
  • Ability to collaborate across departments
  • Driven, with a proven track record of achievement, from a professional practice or finance team in the industry
  • Self-starter that can both take direction and work autonomously
  • Accustomed to working effectively in a fast-paced environment
  • M&A / financial due diligence experience in either practice or industry
  • Excellent analytical skills and commercial awareness
  • Experience of reviewing and building financial models
