Orbia is hiring for a Senior Legal Manager, Corporate Secretary to be based in the UK/Poland/Czech Republic working remotely.

Main Purpose

Serves in the Global Corporate Secretary Office of Orbia Advance Corporation, S.A.B de C.V. (Mexican Stock Market “BMV”: Orbia) managing subsidiaries and actions of numerous legal entities in different countries, corporate governance matters and country-specific regulatory reporting requirements. Acts as a liaison between the Global Corporate Secretary and other departments.

Main Responsibilities

  1. Filing of entity formations, dissolutions, resolutions, annual reports, appointments, powers of attorney and other statutory filings or subsidiary documents. Coordinate filings with third Compliance and Governance Vendors in the EMEA, APAC and USA-Canada regions, as necessary. Assist global members of the company with management of foreign subsidiaries. Play an active role in the successful transition from GEMS to Diligent, a high impact project that involves first implementing Diligent and then maintaining and further enhancing the Diligent system. Play a key role in ensuring a smooth transition and successful rollout of Diligent across the organization.
  2. Coordinate and prepare materials for board of directors’ meetings, including agendas, resolutions, form of minutes and other documentation as requested. Coordinate and prepare materials for annual shareholder meetings, including agenda, scripts, ballots, documentation for engagement of inspector of elections. Assist with all aspects of board of directors and shareholder meeting and document review meeting logistics. Coordinate and assemble meeting material books and maintain an appropriate digital record. Ensure compliance with legal deadlines.
  3. Coordinate to maintain accurate and current officer, director and corporate governance information on the central record keeping repository and the company’s website.
  4. Prepare and maintain director and officer agreements, questionnaires (including D&O Questionnaires), forms and information charts. Assist with officer and director onboarding and offboarding.
  5. Assist with the compliance of corporate policies, including insider trading policy and pre-clearance approvals, and maintain appropriate records. Conduct training sessions as needed.
  6. Assist with M&A and a variety of different Corporate Restructures in the preparation of due diligence and closing materials, assist with the integration of newly acquired entities, and prepares related corporate files.
  7. Prepare calendars for board and shareholder meetings and compliance with reporting obligations. Assist in preparation of regulatory documents and filings as requested.

Qualifications

Minimum: Corporate Secretary Training or Bachelor of law.

Desirable: Corporate Secretary Certification.

Knowledge/ Experience Required

  1. Experience as a corporate governance paralegal or similar function in a corporate legal department or law firm.
  2. The ideal candidate should have taken an active role in the transformation of a multinational organization to centralize the Corporate Secretary function and put in place a clear governance model.
  3. High level of expertise in Corporate Secretary functions, including corporate governance, subsidiary management, and regulatory reporting.
  4. Proven ability to effectively prioritize and organize work and to respond to emails and requests in a timely manner requires effective multi-tasking.
  5. Strong teamwork and interpersonal skill.
  6. Proven ability to work effectively within deadlines and the ability to produce accurate work product. Strong attention to details.
  7. Strong ability to effectively utilize legal operations tools to support subsidiary management.
