Overall Purpose of the Job

The Senior Legal Counsel is a core member of the Expro ESSA and MENA Legal team responsible for advising on all legal issues across all Expro business streams within the ESSA and MENA Regions and acting as the lead lawyer in Aberdeen and supporting the Managing Counsel. The Senior Legal Counsel will engage with the business at many different levels to provide guidance on a wide variety of legal issues.

The role will report to the ESSA & MENA Managing Counsel.

Key Activities And Accountabilities
  • Lead lawyer in Aberdeen providing guidance to Legal Counsels, where needed;
  • Reviewing and negotiating legal documentation with external parties including contracts, terms and conditions, NDAs, MoUs, settlement agreements, parent company guarantees and approvals for all of the above;
  • Drafting legal documentation for Expro internal businesses including secondment agreements, corporate services agreements, powers of attorney, data sharing agreements;
  • Developing and delivering on-line and in-person training on contract terms and other legal issues;
  • Advising on settlement options and negotiation of disputes;
  • Conducting legal research;
  • Liaising with senior management, HR, Insurance, Tax, Treasury and Compliance in relation to contract structures and other company matters;
  • Company secretarial matters for all existing entities and branches;
  • Advice on undertaking business in new geographical locations including new branch and entity set up as required;
  • Opening and closing entities and branches as required;
  • Providing advice on various other legal matters including property transactions, banking, employment, IP, debt recovery and corporate re-structuring;
  • Managing outside counsel;
  • Assist in creating and revising policies and procedures for Expro;
  • Monitor external developments in relation to new legislation and enforcement.
Job Knowledge And Qualifications
  • Previous contracts, legal and compliance experience essential;
  • Experience of managing a team would be advantageous;
  • International experience preferred but not essential;
  • Law Degree by recognised UK or US institution preferred.
