Qualifications

• Domain: Fintech, payments, or crypto/web3 expertise is highly preferred.

Responsibilities

• Draft, negotiate, and manage complex commercial agreements including crypto and payments contracts.
• Oversee governance for US and international entities, including board secretarial duties and entity formations/dissolutions.
• Lead end-to-end legal support for fundraising rounds and M&A with due diligence and data room oversight.
• Advise internal stakeholders on day-to-day legal issues and refine internal templates and playbooks.

We are seeking a versatile, high-caliber Senior Corporate Counsel to join our legal team. As a generalist, you will navigate the intersection of traditional corporate law and the evolving landscape of digital assets and fintech. This role is perfect for a lawyer who thrives on variety—a handling everything from high-stakes M&A and venture financing to the intricate nuances of crypto-specific commercial contracts.

Responsibilities

1. Commercial Transactions & Specialized Contracting

• Draft, negotiate, and manage complex commercial agreements.
• Lead legal review for Crypto and Payment-related contracts, including liquidity provider agreements, custody arrangements, and payment processing terms.

2. Corporate Governance & International Operations

• Oversee corporate governance for our US and global entities, ensuring compliance with local statutory requirements.
• Manage board secretarial duties, including drafting resolutions, maintaining minute books, and managing entity formations/dissolutions.
• Stay abreast of evolving regulatory requirements in multiple jurisdictions.

3. Strategic Transactions (M&A & Fundraising)

• Provide end-to-end legal support for fundraising rounds.
• Execute Mergers & Acquisitions (M&A), including due diligence management, data room oversight, and definitive agreement negotiation.
• Manage relationship with outside counsel to ensure cost‑effective and high‑quality deliverables.

4. General Advisory & Stakeholder Support

• Serve as a trusted advisor to internal stakeholders (Product, Finance, HR, and Operations) on day‑to‑day legal issues.
• Proactively identify legal risks and implement scalable mitigation strategies.
• Support the development and refinement of internal legal templates and playbooks.
• Support MTL applications.

Requirements

• Education: J.D. from an accredited US law school and active bar membership in at least one US jurisdiction.
• Experience: Minimum of 5 years of experience in a high-growth "in-house" environment.
• Domain Expertise: Proven track record in fintech, payments, or the crypto/web3 space is highly preferred.
• Communication: Ability to explain "legalese" to non-lawyers with clarity, wit, and brevity.
• Adaptability: Comfortable with ambiguity and able to pivot quickly in a fast‑paced global regulatory environment.
