General Description:

We are seeking an experienced U.S. securities lawyer to join our growing Legal and Compliance team to support our global, commercial-stage biotechnology company that is triple-listed on Nasdaq, the Hong Kong Stock Exchange (HKEx), and the Shanghai STAR Market. This lawyer will be a senior member of our existing team of securities and corporate lawyers and paralegals and will be instrumental in managing and supporting our securities, general corporate, transactional, and corporate governance matters. Very strong writing and editing skills required.

Essential Functions:

  • Draft and provide counsel in support of SEC and Nasdaq filings and coordinate with Asia-based colleagues on securities law and stock exchange filings with HKEx and STAR Market, including current and periodic reports and announcements, proxy statements, and other regulatory filings and reports.
  • Serve as a subject matter expert on compliance and disclosure items and advise on and draft new disclosures; coordinate and assist with financial disclosures.
  • Support the Corporate Affairs teams, attending to matters such as press release, website and communications review.
  • Provide legal support on various types of transactions, including equity investments, joint ventures, credit facilities, corporate financing, corporate restructurings, and mergers and acquisitions, including due diligence, negotiation of terms, drafting of documentation, and regulatory filings.
  • Support the Company’s environmental, social and governance (ESG) and other corporate governance efforts.
  • Assist with Board and committee meetings, the Company’s Insider Trading Policy, and other corporate policies.
  • Provide counsel in support of the Company’s equity plans and programs and grant agreements, including securities law compliance and disclosure.
  • Assist with the development and upkeep of relevant securities, general corporate, and corporate governance agreements and forms.
  • Build on/improve current legal processes, including the creation of playbooks, handbooks and cheat sheets.
  • Engage and manage the work of outside counsel and advisors.

Minimum Requirements – Education and Experience:

Juris Doctor from an accredited law school in the U.S.

8+ years of SEC reporting experience at a law firm and/or as in-house counsel. Experience with biotech or pharma companies strongly preferred.

  • Strong leadership and management skills and experience.
  • Excellent drafting, editing, negotiation, interpersonal and communication skills.
  • Evaluate legal exposure, manage risk, and interpret and apply laws, regulations, case law, statues, and policies to provide expert advice.
  • Strong business acumen; ability to contribute strategically to the Company’s business.
  • Team player with ability to collaborate proactively with cross-functional teams and interact effectively with all levels within the Company.
  • Strong working knowledge of U.S. securities laws and regulations and the ability to quickly learn, interpret and apply changes in such laws and regulations and policies.
  • A demonstrated ability to collaborate, as well as to work independently, balancing competing priorities in a fast-paced, deadline-driven environment with a high level of professionalism.
  • Highly Detail-oriented.
  • Ability to handle confidential and proprietary information using excellent discretion and judgment.
  • Self-motivated, able to work independently and be reliable and responsive.
  • Ability to be flexible and willing to accept new responsibilities as needed.
  • Swiss corporate governance experience is a plus.

Supervisory Responsibilities:

This position will have managerial responsibility of other corporate counsel and paralegals, as well as budgetary discretion.
