Job summary

Carta Law's UK Contracts team is seeking a Contract Lawyer to independently negotiate high volumes of pre-M&A contracts and serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients. Licensed to practise in the UK/Europe/US/Canada with 3+ PQE, you balance legal risk with business objectives and continuously improve Carta Ava, HighQ, and CLM/e-sign workflows.

Qualifications

Licensed to practise law in the UK, Europe, US, or Canada; 3+ PQE.
Experience negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
Strong advisory relationships with fund and asset manager clients.
Balance legal risk with business objectives and deadlines.
Proficient with AI-assisted contract review tools.

Responsibilities

Negotiate and execute high volumes of pre-M&A contracts.
Serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients.
Maintain and evolve client-specific contract playbooks for consistency.
Mentor junior lawyers and paralegals, promoting a high-performing team.
Utilise Carta Ava, HighQ and CLM/e-sign to improve speed and quality.
Manage the full contract lifecycle from initial review to execution and logging.
