Job summary

Harbottle & Lewis is seeking a senior/ managing associate to join the Emerging Companies & Venture Capital Group (ECVC). The role focuses on leading complex VC and corporate transactions and advising founders, investors and enterprises as they scale.

You will steer investment rounds, negotiate key documents, and provide ongoing governance and fundraising advice, while mentoring juniors and supporting business development within a top-tier law firm in London.

Qualifications

• 6–8 PQE+ with experience in venture capital and corporate transactions.
• Proven ability to lead deal teams and advise founders, entrepreneurs and investors.

Responsibilities

• Lead and manage complex venture capital and corporate transactions, including early-stage financings and exits/M&A.
• Advise founders, entrepreneurs and investors with strategic and commercial guidance.
• Structure and negotiate investment rounds and key documents (subscription agreements, shareholders' agreements, term sheets).
• Provide ongoing corporate and commercial advice to VC-backed companies as they scale (governance, fundraising, incentives).
• Advise VC funds and institutional investors on portfolio investments and exits.
• Mentor junior lawyers, supervise deal teams and ensure high-quality advice delivery.
• Play active role in business development and relationship building with clients and the VC community.
• Contribute to thought leadership, marketing initiatives and strategic growth of the ECVC Group.
