Job Description:

Purpose of job

To advise higher and further education institutions, training providers, independent schools, academies, and local authorities on a broad range of corporate law, charity law, governance, regulatory, and funding issues.

The role involves advising universities and education institutions on commercial issues and large corporate projects, including:

  • Transactions involving private education institutions such as share sales and asset sales of private higher education companies, colleges, nurseries, and schools.
  • Managing legal due diligence, drafting transaction documents, assisting with disclosure exercises, and reviewing ancillary documents.
  • Supporting pre- and post-sale reorganizations of private education groups with complex structures.
  • Advising on partnerships, collaborations, and drafting related agreements.
  • Establishing subsidiary companies and advising on intragroup arrangements.
  • Providing governance advice and conducting constitutional reviews for education organizations, including obtaining necessary consents.
  • Advising on mergers of educational institutions.
  • Coordinating banking, finance, and real estate work streams, and advising on dissolution processes.
  • Handling procurement disputes and issues.
  • Assisting with registration applications to relevant authorities.

The candidate

The ideal candidate will possess a strong knowledge of the law, with the ability to think commercially and analytically to provide practical advice. They should be able to work under pressure, communicate clearly, and contribute to marketing and practice development. The role offers career progression from Senior Associate to Legal Director or Partner, with opportunities for growth within the firm.
