The Role

You will be expected to provide high quality, best in class, firmwide company secretarial advice and support to the partnership as part of the Partnership Secretarial function at Travers Smith. You will proactively contribute to the Partnership Secretarial function and, ultimately, the firm's success, by actively seeking to support the firm's governance framework, and anticipating the needs of colleagues, service providers, and Non-Executive Advisers to the firm.

Key Responsibilities

  • Act as Senior Assistant Partnership Secretary to, and support, several Boards and Committees by managing agendas, taking minutes, updating Rolling Forward Agendas, and following-up on actions arising, which may include from time to time, the Audit Committee, Diversity & Inclusion Board, New Partner Committee, Partnership Board and Risk Committee.
  • Liaise with Partnership Board members and Non-Executive Advisers in relation to Partnership Board matters.
  • Manage the production and distribution of Board and Committee packs and other governance documents.
  • Maintain up to date the library of information kept in the Resources folders on Diligent software for the Partnership Board, and Committees reporting to the Partnership Board.
  • Manage the Members' Policies Manual and arrange for this to be kept up to date including drafting and updating Terms of Reference.
  • Draft partnership resolutions and assistance with elections from time to time.
  • Maintain records and ensure regulatory requirements are complied with.
  • Maintain the Firm Governance section on the firm's intranet site.
  • Ensure all filings for Travers Smith Group companies are kept up to date.
  • Other Responsibilities

  • Deputise for the Partnership Secretary, as and when required.
  • Draft Board and Committee papers and reports.
  • Assist with new partner induction, lateral recruitment and retirement of partners.
  • Work on ad hoc projects alongside the Partnership Secretary and Senior Management Team.

  • At least 4-5 years' experience working in the company secretarial field, with an interest in working within a partnership environment.
  • Knowledge of the Companies Act and limited liability partnership law.
  • Strong technical knowledge and ability to interpret, communicate and apply corporate law.
  • Good knowledge of corporate secretarial practice and excellent attention to detail.
  • Ability to engage with Board members, Partners and Senior Management with confidence and with an assured approach.
  • Ability to build strong relationships with colleagues and external parties.
  • Precision, integrity, accuracy and high standards.
  • Good communication skills with ability to prioritise.
  • Comfortable providing recommendations with confidence to senior level stakeholders, even when there is ambiguity involved.
  • Ability to work collaboratively and in a coordinated way with different areas of the firm.
  • Ability to manage and reconcile conflicting demands and stakeholders.
  • Excellent planning, scheduling, and coordination skills.
