Senior Assistant Company Secretary Job Description

This role in a global FTSE100 retailer is crucial to ensuring the effective functioning of the company secretarial team. You will be supporting a growing team in a fast-paced, entrepreneurial organisation. The role is wide and varied, with plenty of opportunities for development.

Reporting to the Deputy Company Secretary, you will be part of a growing team covering a variety of company secretarial responsibilities. This role suits an ambitious, capable, and hardworking candidate who is keen to enhance governance & compliance processes within the Group.

This role is to support the business over a busy year-end period and would suit a candidate who can start immediately or at short notice.

This is a hybrid role based in Bury, Manchester.

Accountabilities:
  • Working with the Deputy Company Secretary to manage end-to-end board and committee processes, such as drafting agendas, assisting with the creation of board papers, and uploading papers to the board portal.
  • Managing UK & international subsidiaries and ensuring compliance with the global governance framework.
  • Managing day-to-day Market Abuse Regulation compliance, including maintenance of insider and confidentiality lists and monitoring training.
  • Supporting the Annual Report & Accounts, including drafting & reviewing content, and liaising with auditors and other stakeholders.
  • Leading the AGM and other shareholder meetings.
  • Managing the director induction processes and maintaining related registers.
  • Leading on corporate projects, such as legal entity rationalisation.
  • Monitoring and improving corporate governance arrangements for the Group.
  • Liaising with other departments to provide company secretary support, such as on M&A.
  • Supporting and mentoring team members.
  • Deputising for the Deputy Company Secretary as required.
Minimum Requirements:
  • CGI qualification (essential).
  • At least 8 years’ experience in a company secretarial role.
  • Good understanding of corporate governance and regulatory requirements of a listed organisation.
  • Excellent attention to detail and highly organised.
  • Ability to build relationships with key stakeholders.
  • Prior line management or mentoring experience (desirable).
