Qualifications

  • Ensure compliance with UK listing obligations.
  • Maintain Insider List and approve share dealing.
  • Project manage the Annual Report design and distribution.
  • Manage executive and employee share schemes.
  • Coordinate the AGM.
  • Handle dividend payments and shareholder queries.

Job description

The Senior Company Secretarial Assistant reports directly to the Senior Assistant Secretary, who manages workloads, reviews work, and provides support and development.

You will provide a professional, commercially focused company secretarial service to the Group. Working with the Deputy Secretary, responsible for daily management of core company secretarial matters, and the Senior Company Secretarial Assistant. The Deputy Secretary reports to the General Counsel & Company Secretary. This role is part of the succession plan, with the candidate likely to be ready to step into the Deputy Secretary role within 2-3 years.

There is flexibility in work allocation among the Company Secretarial team to meet business needs and support team development.

What we need from you...
  • Qualified Chartered Company Secretary with strong experience in a Listed PLC environment.
  • Good knowledge of the Companies Act 2006, UK Corporate Governance Code, UK Listing Rules, Disclosure and Transparency Guidance, MAR, and related best practices.
  • Excellent written and verbal communication skills, with awareness of messaging to different stakeholders.
  • Ability to remain focused under pressure, work at pace when needed, seek guidance when necessary, and think strategically.
  • Handle all matters professionally and confidentially.
  • Build strong relationships with diverse stakeholders across the business.
What you'll be doing...
  • Ensuring compliance with UK listing obligations.
  • Maintaining the Group's Insider List and share dealing approval process.
  • Project managing the design, production, and distribution of the Annual Report.
  • Managing executive and employee share schemes.
  • Coordinating the AGM.
  • Monitoring cases via the Group’s whistleblowing helpline.
  • Managing relationships with the registrar, handling dividend payments, and shareholder queries.
  • Assisting with corporate actions like acquisitions, disposals, and restructuring projects.
