Job description

Senior Assistant Company Secretary

We are seeking a talented individual to join our Legal team in Marsh McLennan (MMC). This role will be based in our London Office. It is a hybrid role requiring at least three days a week in the office.

The Senior Assistant Company Secretary will provide governance-related advice and support to Marsh McLennan companies in the UK, ensuring compliance with statutory requirements.

The role includes board support, governance projects, intra-group transactions, and statutory compliance. The successful candidate will work closely with team members to fulfill these duties.

Key responsibilities include:

  1. Agreeing on agendas for board and committee meetings, including FCA-regulated companies.
  2. Handling logistical aspects of meetings, liaising with report producers, preparing and distributing materials, drafting minutes, and managing action updates.
  3. Maintaining statutory records and minute books.
  4. Coordinating input into and approval of annual financial statements.
  5. Ensuring statutory compliance with Companies House filings.
  6. Maintaining terms of reference and delegated authorities.
  7. Supporting governance projects such as liquidations, restructuring, and capital reorganizations.
  8. Providing proxies and notarized/legalized documents.
  9. Managing shareholder approvals for overseas subsidiaries.
  10. Maintaining the legal entity management database (Diligent Entities).
  11. Providing documentation for due diligence, RFPs, and KYC requests.

Qualifications and skills required:

  1. Knowledge of UK company law and corporate governance.
  2. Experience working with senior management.
  3. Excellent communication skills, capable of simplifying complex messages.
  4. Strong analytical and problem-solving skills.
  5. Collaborative, proactive, and self-motivated approach.
  6. Attention to detail, organization, and ability to meet deadlines.
  7. Degree-level education or equivalent.
  8. ACG qualification or equivalent.

Preferred experience:

  1. Significant secretarial or legal experience, preferably in financial services.
