Role overview

Reporting directly to the Deputy Company Secretary, you’ll be supporting the efficient and effective functioning of the Group Secretariat. In this role, you’ll be assisting in the provision of essential corporate governance services to the Group to ensure the wellbeing of the organisation in terms of its legal operation, corporate administration and continued compliance with corporate governance principles, standards and obligations. You’ll understand the Group’s organisational and business model and ensure the work of the Group Secretariat is aligned to the Group’s strategy and goals.

Job details – you’ll need to have demonstrable experience in:

  • Providing timely and best practice corporate governance advice and assurance and company secretarial services

  • Providing each Board of Directors with the information, protocols and resources it needs to function effectively and efficiently and in compliance with its statutory and regulatory obligations and matters reserved

  • Overseeing interactions between each Board and executive management, ensuring boundaries within which the respective legal entities operate are clear and independent

  • Scheduling, organising, attending and taking minutes of Board and Committee meetings, and meetings of executive management where required, including preparation and distribution of materials and documentation and managing any follow up actions

  • Preparing and arranging the execution of formal member or director resolutions as required and ensuring compliance with all relevant statutory and corporate regulatory requirements (including statutory filing and record keeping for all Group entities)

  • Assisting with the management and administration of the Group’s corporate insurance programme, whistleblowing platform and any other initiatives undertaken from time to time

Essential skills/experience:

  • Relevant experience as a qualified corporate governance professional with demonstrable knowledge and experience of the UK Companies Act, corporate legislation and corporate governance codes

  • Proven track record of servicing boards/committees with minute taking and the preparation of associated materials and documentation

  • Highly organised with excellent examples of strong verbal and written communication skills (i.e. extensive minute taking ability)

  • Strong relationship building and stakeholder management skills – able to communicate with colleagues at all levels, particularly with non-executive Board Directors
