Defining and implementing issuers and operational platforms to enable the origination and issuance of structured debt for a wide range of clients and geographies. Lead, coordinate and perform all tasks necessary for its development, from the establishment of the adequate vehicle to the issuance process (programs and securities) including post sales operational and transactional issues. (Focus on platforms and solutions).
About the job:
Creation and management of issuers and structured securities,repackaging and securitization platforms:
- Establish issuers: analysis of viability, adequate structure, jurisdiction, legal and tax aspects, investor category and operational capacity.
- Governance: coordinate tax, accounting and regulatory compliance of the issuers.
- Appoint and manage relations with external service providers, negotiation and cost control.
- Lead and coordinate with other areas all matters relating to the relating to the governing and administration of the issuers; participation in governing bodies, board meetings, review of financial statements, negotiation of the audit process.
- Coordinate operational aspects and processes in BBVA (issuer onboarding, maintenance in BBVA´s systems, accounting issues, payment, expense, tax issues, coordination of regulatory filings and reporting, establishment of internal processes and procedures.)
- Develop and maintain third-party issuer relationships to access their issuance capabilities and providing them with advice relating the issuance of bespoke products.
Establishment and management of issuance programmes:
- Decide on the necessary formats, structures and modifications needed to meet Global Markets business requirements.
- Promote and implement the necessary modifications and adjustments in the issuer documents.
- Lead and coordinate aspect relating to the programme set up, updated and improvements with internal areas (legal, tax, accounting, etc) and external parties (trustee, agents, legal, tax, clearings).
- Manage approvals by external parties involved (regulators, listing exchanges) and rating from the rating agencies.
- Negotiate and retain external stakeholders (custodians, agents, stock exchanges).
Issuances and Products:
- Define and classify structured products: categorization and inclusion in the relevant product catalogues and obtain internal approvals in compliance with MIFID requirements.
- Advise Sales and Structuring on the most adequate format/wrapper for each type of product and investor. Assist Sales and other internal areas on queries relating to the issues.
- Promote the development and issuance of new products (one-off to meet a specific investor demand or new line of business).
- Manage the complete structured securities issuance process: from analyzing the viability of a proposed operation to the preparation of the issuance documents.
- Liaise with internal stakeholders on issuance related matters (Tax, Legal, CARO, Risk, Accounting, Regulation, Middle office...) as well as external stakeholders (Administrators, Trustees, Auditors Agents, Custodians, Credit and Green Rating Agencies, Regulators, Stock Exchanges, external legal and tax advisors in collaboration with internal tax and legal…).
- Negotiate and obtain approval for listing of the structured securities by the regulator and the stock exchange
- Negotiate and obtain ratings from the rating agencies.
- Collaborate with the Legal unit to define the required legal documentation and contracts for products.
- Post-sale services: unwinds, amendments, payments, client enquiries. Operational Aspects
- Promote, define and maintain the operational tools for the management of structured securities.
- Lead the creation and maintenance of platforms for the issuance and negotiation of structured securities. Both for internal and external use.
- Data management and analysis: for business decisions purposes, accounting, payments, internal control, sales, clients, risk department, legal documentation.
- Responsible for the procedures for issuance and management of Structured Securities and participate in the establishment and/or update of other procedure that affect the issuance and sale of structured securities in collaboration with other areas.
- Lead and participate in working groups in order to adequate the business to the different regulations (Volcker, MIFID, PRIIPS, Benchmark, EMIR, AIFMD, Prospectus Directive, Transparency Dire
Academic Degree:- Business Administration, Economics, Engineering, etc...
- Master's degree valuable.
Previous Experience :
- 5 years of experience
- Experience in the issuance of securities, (bonds, notes, warrants, certificates, other).
- Experience in the establishment of issuance programmes: securitizations, structured products, other
- Understanding of derivatives confirmations and/or ISDA negotiation.
- Experience in project management, workflow establishment and database development.
