Role
This role will need an organised proactive collaborator with excellent communication skills and business sense in what is a varied busy role heavily supported by the UK Legal Team. It will provide exposure to the wider MSE businesses, US corporate functions and Sectors (DS in particular). The UK Legal Team will provide support across the areas listed below as needed, often working together with one of team. There will be opportunities to be autonomous and lead on some activity.
Key Responsibilities
- Supporting the US Corporate Secretary’s Office by liaising on with Companies House, amending/updating board of directors, UK company financial statements, annual confirmation statements, drafting minutes and resolutions and instructing external counsel where needed). Negotiating and discussing with our US colleagues in Corporate Secretary’s office .
- Real Estate – supporting on advising the business about property related legal queries they may have and instructing external counsel and coordinating with them where needed, wayleave agreements, lease renewals, and sub-letting queries.
- NDA review – includes supporting on negotiating with other party to agreeable terms.
- General Contract review and support - supporting negotiating with other party/other party’s solicitors to agreeable terms.
- Personal Injury Claims – supporting on audit, managing on-going legacy personal injury claims and new personal injury claims that crop up for both NGUKL and NGPL. Conversations and negotiations with insurers, our solicitors and opposing party’s solicitors.
- Complete L316 vetting for law firms primarily.
- Carry out horizon scanning for new EU and UK Laws enacted.
- Supporting counsel on Internal investigations
- Insurance – liaising with our insurers if there are any specific queries from the business.
Person Specification
- Possess a high degree of integrity, initiative and lots of enthusiasm.
- Excellent verbal and written communication skills with attention to detail.
- Possess a high level of competence with IT systems, including Word, Excel, and PowerPoint
- Aspirations to further develop your skills within a commercial environment.
- Accountability for timely completion and quality of work.
Preferred qualifications / experience
- Degree in Law (or GDL) is preferred but not essential
- Demonstrable experience in handling company secretarial work but not essential.
- Knowledge of relevant legal and regulatory requirements, particularly the UK Companies Act 1985 and 2006 and knowledge of corporate governance principles and practices helpful but not essential.
