Role
This role requires an organized, proactive collaborator with excellent communication skills and business sense. The role is varied and busy, heavily supported by the UK Legal Team, with exposure to wider MSE businesses, US corporate functions, and Sectors (particularly DS). Opportunities exist to work autonomously and lead activities.
Key Responsibilities
- Supporting the US Corporate Secretary’s Office with Companies House liaising, updating board of directors, UK company financial statements, annual confirmation statements, drafting minutes and resolutions, and instructing external counsel as needed. Negotiating and discussing with US colleagues.
- Supporting Real Estate matters, advising on property-related legal queries, instructing external counsel, coordinating wayleave agreements, lease renewals, and sub-letting queries.
- Reviewing NDAs, supporting negotiations for agreeable terms.
- Supporting general contract reviews and negotiations.
- Managing personal injury claims, including audits, ongoing legacy claims, and new claims, with negotiations involving insurers and solicitors.
- Completing L316 vetting for law firms.
- Conducting horizon scanning for new EU and UK laws.
- Supporting counsel on internal investigations.
- Liaising with insurers regarding specific queries.
Person Specification
- High integrity, initiative, and enthusiasm.
- Excellent verbal and written communication skills with attention to detail.
- Proficiency with IT systems, including Word, Excel, and PowerPoint.
- Aspiring to develop skills within a commercial environment.
- Accountability for timely and quality work.
Preferred Qualifications/Experience
- Degree in Law (or GDL) preferred but not essential.
- Experience in company secretarial work is advantageous but not essential.
- Knowledge of UK Companies Act 1985 and 2006, and corporate governance principles is helpful but not essential.
