Purpose of the Position

This is a permanent in-house Paralegal role to join Pantheon’s London office, reporting to an in-house attorney / structuring professional within the Private Credit investment team. The overall purpose of this role is to assist with the investment structuring and execution work undertaken by the Private Credit team globally

Roles & Responsibilities

  • Supporting transaction completion across all investment types within Private Credit (secondaries, co-investments, primaries)
  • Assisting with the negotiation of legal documents governing Pantheon investments, including transaction documents such as limited partnership agreements, side letters and purchase and sale agreements
  • Reviewing and helping prepare subscription documents and other ancillary documents
  • Managing external legal and tax advisers
  • Completing and providing AML/KYC checks with respect to investments and working with third-party AML provider to keep information up to date
  • Working with outside counsel, internal operations teams and third-party service providers to incorporate and set up special purpose vehicles (“SPVs”) and other structuring as needed on transactions
  • Coordinating and driving to completion relevant approvals and signatures for transactions
  • Reviewing and helping prepare legal checklists and investment restriction checks required for investments
  • Working with legal team to keep checklists and other internal source materials up to date in line with new client closings and new guidance/developments
  • Coordinating with operations and treasury teams on money transfers
  • Completing closing notices and assisting operations teams with deal setup process upon the successful execution of investments
  • Maintaining and ensuring accuracy of CRM database with respect to investments
  • Assisting with management and organization of investment legal documents
  • Maintaining Private Credit team legal records on various matters including counterparty exposure, transaction terms, invoice payments, etc.
  • Processing corporate action memoranda for LP/LPAC consent requests and other amendments
  • Compiling data for information requests related to periodic audit reviews and on an ad hoc basis
  • Invoice management (i.e., reviewing invoices received from outside counsel, confirming accuracy and fund allocations and sending to payment department)
  • General administrative and routine tasks (e.g., filing of closing bibles and updating databases)
  • Ensuring compliance with relevant laws, regulations and Pantheon policy (including reporting conflicts of interest, compliance risks and maintaining appropriate standards of conduct)

Knowledge And Experience Required

  • Proficient in Microsoft Office (Word, Excel, PowerPoint, Outlook, etc.) and Adobe Pro and PDF editing skills
  • Attention to detail, approach work methodically, a high degree of attention to detail and accuracy in work completed
  • Willingness to learn, ask questions and seek information to form a global perspective, proactive approach, a desire to solve problems and improve processes
  • Cooperative demeanor, ability to work with different personalities, excellent communication skills and team-player
  • Good organizational skills and ability to prioritize workflow
  • Strong time management skills, including the ability to work independently and to work on several projects simultaneously
  • Good timekeeping and prepared to work flexibly on different types of projects to meet the needs of the business, including to work to tight deadlines under time pressure
  • Bachelor’s degree

Qualifications, Knowledge And Experience Preferred But Non-essential

  • Work experience in a legal team at a law firm and/or in a fast-pace in-house legal and/or compliance department is a plus
  • Experience with private equity or other alternative investments or asset management is a plus
  • Experience with contract review and structure is a plus
