Loughborough Students' Union is a charity that receives a block grant from the University and raises additional funds through social enterprise to meet its objective to empower students at Loughborough University by representing the views of students and providing them with the support and resources to succeed at university.

Our new three-year strategy (August 25 – July 28) looks to continue to strive towards being a Union that is focused on Equity, Diversity and Inclusion and is both environmentally and economically sustainable.

By building a bold and talented Trustee board it will provide the support and challenge to our strategy, help maximise our opportunities and bring the creativity needed to continuously ensure we are operating at excellent standards.

We are looking for Trustees from a broad range of experiences HR, Finance, Equality, Diversity and Inclusion, Business and Commercial, a knowledge of Charities, SUs and/or Higher Education who can contribute with innovative thinking and challenge the status quo, of particular interest are those from a HR and Talent Management background with Finance experience and someone who can act as safeguarding lead on our Board.

Role Description

The duties of a Union Trustee are as follows, beginning with statutory duties:

  • Ensuring that the organisation pursues its stated objects (purposes), as defined in its governing document, by developing and agreeing a long-term strategy
  • Ensuring that the organisation complies with our Articles of Association, charity law, company law and any other relevant legislation or regulations
  • Ensuring that the organisation defines its goals and evaluates performance against agreed targets
  • Overseeing the development and effectiveness of the policies and procedures in place
  • Ensuring that the organisation applies its resources exclusively in pursuance of its charitable objects.
  • Reading and scrutinising annual budgets and scrutinising them before and at board meetings to ensure the effective financial management of the organisation and assessment of whether the organisation can meet its present and future needs
  • Considering the financial implications of the organisation’s strategic plans
  • Consider, scrutinise and approve the annual report and accounts; and ensure that any recommendations are implemented
  • Protecting and managing the assets of the charity and ensuring the proper investment of the charity’s funds
  • Following proper and formal arrangements for the appointment, supervision, support, appraisal and remuneration of the Chief Executive Officer
  • In addition to the above statutory duties, each trustee should use any specific skills, knowledge or experience to help the board of trustees reach sound decisions. This may involve scrutinising board papers, leading discussions, focusing on key issues, providing advice and guidance on new initiatives, or other issues in which the trustee has special expertise
  • Lay trustees must work effectively with student trustees

Composition of the Board

The LSU Board comprises: 5 elected Executive Officers (students); 5 appointed student trustees; 5 lay trustees bringing a variety of pertinent experience, one of whom is appointed by Loughborough University.

Terms of appointment

The term of office is up to two terms of three years from date of appointment.

The role is unremunerated, although reasonable expense will be paid.

The time commitment is anticipated to be around:

  • Board meetings and other trustee subcommittee meetings – c2 hours per month. Full Board meetings will be held in person on the Loughborough University campus and subcommittee meetings will be held online via MS Teams.
  • Informal catch-ups between Chair and CEO as appropriate c1-2hrs per month.
  • Annual Training Day.
  • Optional attendance at key annual events, e.g. Award nights etc.

Person specification

The successful candidate will have the experience, specialisms and skills to bring to the role of trustee.

The Union seeking trustees with skills and specialisms primarily in:

·Equality, Diversity and Inclusion

·Knowledge of Charities, SUs and/or Higher Education

·Business and Commercial

Essential or Desirable Skills or Experience

  • Expertise in at least one area highlighted above - Essential
  • Understanding and acceptance of the legal duties, responsibilities and liabilities of trusteeship - Essential
  • Willingness and ability to work effectively as a member of a team - Essential
  • Strategic vision and ability to provide scrutiny at the right level, for the organisation, its strategy and finances, and where appropriate, its work plans - Essential
  • Experience of contributing to a committee - Desirable
  • Impartiality, fairness and the ability to respect confidences - Essential
  • Excellent communication and interpersonal skills for both internal and external relationship-building - Essential
