Job summary

GRANT THORNTON's TAS Tax team seeks an Associate Director to lead tax advice and due diligence on buy-side and sell-side transactions. You will partner with TAS and other GT teams, supporting business development and client relationships across domestic and international deals.

You will supervise reports, oversee structuring work, and mentor junior staff while maintaining strong client interactions with private equity funds and corporate clients.

Qualifications

  • Qualified chartered accountant or tax adviser with UK tax practice knowledge.
  • Experience in UK corporation tax compliance and/or M&A.
  • Exposure to transfer pricing, R&D, VAT, employment taxes, stamp duty, share transactions and option schemes.

Responsibilities

  • Lead tax advice and due diligence on buy-side and sell-side transactions.
  • Collaborate with FDD and SPA Advisory teams to align tax work with TAS.
  • Lead due diligence meetings and oversee analysis and reports.
  • Prepare and review structuring reports considering tax implications and commercial requirements.
  • Engage in forecast models, fund flows, and legal documentation preparation.
  • Build internal networks to drive opportunities across TAS, Corporate Finance, and GT’s international firms.
  • Develop business with external contacts in PE funds, corporate clients, law firms and intermediaries.
  • Conduct business development activities, research and proposals, and present to prospective clients.
  • Manage project budgets, billing, and debt collection.
  • Produce technical research using legislation and tax guidance.
  • Oversee training and development of team members.

Job Description

Our Transaction Advisory Services (TAS) Tax team focuses on delivering end‑to‑end tax structuring and due diligence for private equity and corporate clients across a wide spectrum of sectors and deal sizes, both domestically and internationally. As an Associate Director you will lead tax advice and due diligence on buy‑side and sell‑side transactions, partner with other TAS teams, and support business development and client relationship management.

Responsibilities
  • Lead discussions with and present findings to clients, legal advisers and the target’s management team.
  • Collaborate with FDD and SPA Advisory teams to ensure alignment of tax work with overall transaction advisory services.
  • Lead due diligence meetings with the target business, oversee the analysis, and review reports before final partner or director review.
  • Prepare and review structuring reports based on the proposed acquisition structure, considering key tax implications and commercial requirements.
  • Engage in all transaction aspects, including reviewing forecast models, fund flows, and supporting the preparation of legal documentation.
  • Build and maintain an internal network to drive opportunities across TAS, Corporate Finance, and GT’s international member firms.
  • Work closely with external contacts within private equity funds, corporate clients, law firms and intermediaries to drive business development.
  • Conduct business development activities, research and prepare proposals, and present to prospective clients.
  • Manage project budgets, ensuring accurate billing, timely fee collection, and minimal debtors.
  • Produce well‑supported technical research using legislation, tax authority guidance, and firm resources.
  • Oversee ongoing training and development of team members.
Qualifications

The ideal candidate will be a qualified chartered accountant or tax adviser (ACA, CA CTA, ADIT or equivalent) with solid grounding in UK tax practices. The following skills are highly valued:

  • UK corporation tax compliance and/or M&A experience.
  • Exposure to other tax issues – transfer pricing, R&D, VAT, employment taxes, stamp duty, share transactions and option schemes.
  • Proven client handling and project management experience, building and sustaining relationships.
  • Expertise in advising on technical tax matters.
  • Demonstrated ability to manage multiple deliverables, prioritise tasks, and meet deadlines.
  • Strong Excel and PowerPoint skills to prepare client and target documentation.
