Job summary

Gerald Edelman LLP is seeking a senior tax transactions adviser to join our dynamic Transaction Services team in the UK. You will lead transaction tax workstreams, advise on structuring for acquisitions, disposals and refinancings, and collaborate with deal advisory and tax colleagues to deliver high-quality client deliverables for private equity funds, search funds and corporates.

The role requires strong UK tax technical knowledge, post-qualification experience, and excellent project

Qualifications

• ATT/CTA/ACA/ACCA or equivalent with three+ years PQE.
• Strong UK tax legislation knowledge and awareness of international tax concepts.
• Proven experience working on transactions.

Responsibilities

• Leading transaction tax workstreams including tax due diligence for acquisitions, disposals and refinancings.
• Tax efficient structuring on transactions for private equity funds, search funds, corporates and other financial investors.
• Day-to-day client contact and collaboration with transaction services, deal advisory and tax teams to deliver high-quality service.
• Preparing and reviewing transaction tax and tax advisory deliverables (e.g., due diligence reports, tax structure papers).
• Reviewing tax aspects in legal documentation (SPA, warranties, indemnities, covenants).
• Reviewing tax assumptions in financial models.
• Contributing to deal funds flows and cap tables as required.
• Managing international tax teams on cross-border transactions.
• Liaising with clients, legal teams, advisors and internal stakeholders.
• Managing teams, deadlines and fee budgets with good financial hygiene.
• Coaching junior team members and contributing to process improvements.
