Job Description:
The Director, Corporate Counsel, assists senior legal and business stakeholders at Ryan with legal matters related to mergers and acquisitions, corporate compliance, and governance. The role primarily covers Europe and Asia-Pacific regions, with potential for broader scope.
Duties and Responsibilities:
- Draft, review, and negotiate transaction documents for M&A activities, including NDAs, LOIs, purchase agreements, and ancillary documents.
- Manage legal due diligence, analyze reports, and advise on risks.
- Coordinate with outside counsel during transactions.
- Prepare closing documentation and oversee transaction closings.
- Support integration of acquired companies, including post-closing activities and restructuring.
- Ensure compliance with applicable corporate and securities laws.
- Advise on corporate governance and organizational structure.
- Manage entity formation, reporting, and maintenance for corporate entities.
- Monitor adherence to corporate formalities and operations.
- Assist finance and tax teams on legal matters like intragroup arrangements.
- Provide clear legal advice to executive stakeholders.
- Support other legal team activities, including compliance, contracts, and training.
Education/Experience:
- Legal qualifications and minimum seven years experience in a large law firm or similar environment.
- Experience drafting cross-border M&A documents and managing due diligence.
- Experience working with large law firms preferred.
