Job Description:
We are seeking a Listed Company Secretarial Assistant based in London or remotely. Candidates should have at least 2 years of governance and/or company secretarial experience. This role offers training, development, and progression towards becoming a chartered secretary within a progressive FTSE 100 listed company.
The responsibilities include:
- Managing subsidiary entity compliance and supporting subsidiary governance for the Group.
- Supporting the appointment of new directors to subsidiaries and advising on their duties.
- Reviewing statutory accounts and investment lists with the finance team.
- Completing KYC requests.
- Initiating and managing ad hoc projects.
- Drafting, reviewing, and executing Powers of Attorney, Proxies, and Letters of Authority.
- Acting as Secretary to the Trustee of the Pension Scheme, organizing quarterly meetings, drafting minutes, agendas, and preparing meeting packs.
- Serving as Secretary to the Governance Committee of the Group Personal Pension Plan.
- Supporting annual Scheme data renewal and the annual audit of the Scheme; assisting the Senior Assistant Company Secretary with the administration of Long Term Incentive and Deferred Share Schemes.
- Drafting and reviewing sections of the Group’s Annual Report and Accounts, liaising with design, finance, and marketing teams.
- Preparing for the Group AGM, including drafting and reviewing announcements to the London Stock Exchange.
- Acting as a trusted advisor and point of contact for key stakeholders.
