Job Description:

We are seeking a Listed Company Secretarial Assistant based in London or remotely. Candidates should have at least 2 years of governance and/or company secretarial experience. This role offers training, development, and progression towards becoming a chartered secretary within a progressive FTSE 100 listed company.

The responsibilities include:

  • Managing subsidiary entity compliance and supporting subsidiary governance for the Group.
  • Supporting the appointment of new directors to subsidiaries and advising on their duties.
  • Reviewing statutory accounts and investment lists with the finance team.
  • Completing KYC requests.
  • Initiating and managing ad hoc projects.
  • Drafting, reviewing, and executing Powers of Attorney, Proxies, and Letters of Authority.
  • Acting as Secretary to the Trustee of the Pension Scheme, organizing quarterly meetings, drafting minutes, agendas, and preparing meeting packs.
  • Serving as Secretary to the Governance Committee of the Group Personal Pension Plan.
  • Supporting annual Scheme data renewal and the annual audit of the Scheme; assisting the Senior Assistant Company Secretary with the administration of Long Term Incentive and Deferred Share Schemes.
  • Drafting and reviewing sections of the Group’s Annual Report and Accounts, liaising with design, finance, and marketing teams.
  • Preparing for the Group AGM, including drafting and reviewing announcements to the London Stock Exchange.
  • Acting as a trusted advisor and point of contact for key stakeholders.
