Job Description

The Legal Director will oversee legal, compliance, and governance functions, acting as the senior legal authority and Company Secretary. Responsibilities include:

  1. Commercial Legal: Providing legal advice, drafting and negotiating complex contracts (EPC, O&M, PPAs), supporting procurement and asset management, managing disputes.
  2. Corporate Finance & Transactions: Advising on debt/equity funding, M&A, joint ventures, supporting due diligence and capital raising.
  3. Governance & Company Secretarial: Ensuring strong governance, maintaining statutory records, advising on compliance, overseeing legal entity structure.
  4. General Legal Oversight: Handling data protection, IP, regulatory compliance, risk management, managing external counsel.

The Successful Applicant

Ideal candidates will have over 10 years post-qualification experience, with a background in private practice and in-house roles within energy, infrastructure, or construction sectors. They should be qualified solicitors or barristers (England & Wales), experienced in:

  • Negotiating complex commercial and project agreements.
  • Corporate finance, M&A, joint ventures.
  • Governance, compliance, Company Secretarial duties.
  • Standard contracts like FIDIC and IChemE.

Soft skills include:

  • Commercial awareness, balancing legal risk and business opportunity.
  • Clear communication, translating legal into practical advice.
  • Decisiveness, independence, sound judgment.
