Job description

The Legal Counsel/Paralegal will provide comprehensive legal advice and support to Zodia Group Companies across a range of legal matters. This role will involve working closely with stakeholders in all departments to ensure that the company's legal interests are protected and that it complies with all relevant laws and regulations.

Key Responsibilities:

  • Contract Preparation, Review and Negotiation:
    • Review, draft, and negotiate a wide range of commercial contracts, including service agreements, technology and software agreements, custody agreements business referral agreements and NDAs.
    • Provide legal advice on contract terms and conditions to ensure compliance with company policies and applicable laws.
  • Dispute Resolution:
    • Assist in managing and resolving legal disputes, including litigation, arbitration, and mediation.
    • Provide advice on risk mitigation strategies and potential legal consequences of disputes.
  • Regulatory Compliance:
    • Assist the business in its compliance with relevant laws and regulations, including data protection, employment law, financial services in UK, EU, ADGM, Hong Kong, Singapore, Australia.
    • Conduct legal research and provide advice on relevant emerging legal issues including in relation to the crypto and digital assets market.
  • Risk Management:
    • Identify and assess legal risks associated with the business and develop strategies to mitigate them.
  • Legal Project Management:
    • Manage and/ or coordinate legal projects, including due diligence, mergers and acquisitions, and restructuring.
    • Coordinate with external legal counsel and other professionals as needed in order to assist in specialist areas.

Requirements

Qualifications and Experience
  • Law degree from a reputable university.
  • [English/Common law] Qualified lawyer with minimum of 2 years of post-qualification experience. Or Strong Paralegal who may discuss training contract options with Chief Of Legal
  • Strong understanding of regulatory, specifically FCA, Regulated Activities Order
  • Excellent written and verbal communication skills.
  • Strong analytical and problem-solving skills.
  • Adaptable, a fast learner and has the ability to pick up new and unfamiliar concepts.
  • Ability to work independently and as part of a team.

Additional Skills (Desired but not necessary)
  • Some prior experience or an understanding and interest in crypto and digital assets.
  • Using AI and Prompting skills
  • Adept as using all kinds of technology to enhance and improve processes
  • Experience working in house or on secondment.
