Legal Counsel Position at Baringa

Our Legal, Risk and Compliance team is seeking an experienced Legal Counsel for an initial 12-month FTC.

About the team: Legal Risk and Compliance (LRC) partners with the business to provide specialised legal, commercial, and risk management support, facilitating confident growth through contract negotiation, strategic partnerships, expansion, insurance, company secretarial duties, restructuring, and enterprise risk management.

Responsibilities

  1. Prepare and negotiate various contracts with clients and sub-contractors, including Engagement Letters, MCAs, Licence Agreements, Reliance Letters, NDAs, and Sub-contracts, in line with Baringa’s risk scorecards.
  2. Negotiate supplier contracts in collaboration with relevant staff or teams.
  3. Provide contract risk analysis to senior management and escalate high-risk contracts for approval.
  4. Liaise with insurance brokers to ensure contract language remains within coverage.
  5. Assist in maintaining and improving contract templates, clauses, and RFP responses.
  6. Handle corporate projects, including structuring overseas entities and liaising with local law firms and tax advisers.
  7. Complete necessary registrations with Companies House and Data Privacy regulators.
  8. Review and develop commercial propositions from a contract risk perspective, especially for RFP, ITT, and RFI responses.

Skills and Experience

  • Qualified solicitor or barrister in England & Wales or a Commonwealth/common law country, with 2-4 years PQE.
  • Strong commercial law background, especially in contracts.
  • Experience with corporate, secretarial, and data privacy work.
  • In-house experience is a plus.
  • Excellent contract drafting and negotiation skills.
  • Ability to present to leadership teams confidently.
  • Solution-oriented mindset and organised work approach.
