Job Description
This is a unique opportunity to join the London office of DTEK. As one of the largest integrated energy companies in the CEE region, DTEK operates across a wide range of energy sectors, including electricity, gas, and renewable energy. The Legal Counsel in Corporate Finance will play a critical role in supporting our continued growth and development by providing legal support on various financial transactions and strategic initiatives.
Key Responsibilities:
- Handle a full spectrum of domestic and cross-border financing transactions, including general corporate lending (bilateral and syndicated), project financing, and capital market transactions.
- Provide legal advice on transaction structuring, deal documentation, regulatory matters, and investor relations.
- Draft, review, and negotiate various financial contracts, including loan agreements, bond documentation, security documents, and intragroup financing agreements.
- Coordinate pre- and post-closing legal processes.
- Conduct legal risk assessments and develop associated risk mitigation measures.
- Assist with ongoing credit portfolio management, including liability management exercises, restructurings, refinancing arrangements, amendments, and waivers.
- Prepare and review internal materials (supervisory board presentations, memorandums, strategies, and legal analytical documents) related to corporate finance matters.
- Provide methodological support to business units in developing policies and processes to ensure compliance with credit portfolio documentation.
- Work closely with business teams and liaise with external legal counsels in various jurisdictions.
- Analyze applicable regulations and guidelines in the EU and the UK, advising on regulatory aspects and monitoring developments in the legal framework.
- Offer legal guidance to align financial and strategic goals.
Required Skills and Qualifications:
- 5+ years of experience in finance transactional work within an international business, financial institution, or law firm.
- Strong knowledge and understanding of debt financing instruments and commercial issues involved in finance transactions.
- UK qualification is preferable.
- Proficient research, analytical, and writing skills with the ability to provide clear legal guidance to stakeholders at different levels.
- Strong communication and negotiation skills.
- Ability to work in a high-pressure, fast-paced environment and manage multiple priorities.
- Self-motivated with the ability to work independently and take initiative.
- Strong analytical and problem-solving abilities.
- Fluent in English; Ukrainian/Russian language skills are preferable.
