We are seeking an in house Legal Counsel, to be the legal officer for our Group, managing day to day legal related operations,
responsible for overseeing all internal legal matters and ensuring company complies with relevant laws and regulations. This role
involves providing strategic legal guidance, supporting corporate governance, and mitigating risks to protect the organisation’s
interests.




Key Responsibilities:

Legal Strategy and Compliance

* Provide expert legal advice to the senior team on a wide range of legal issues, including legal risk, contracts, regulatory
compliance, data protection, intellectual property, M&A and corporate, employment and people, and corporate governance.
* Ensure the company’s activities comply with applicable laws, regulations, and policies, internationally.
* Develop and implement strategies to mitigate legal risks and address potential disputes




Corporate Governance

* Policy conceptualising and drafting, in conjunction with relevant stakeholders
* Oversee Corporate Governance activities and ensuring related records and maintained and kept up to date




Contract Review and Management

* Draft, review, and negotiate key contracts, agreements, and other legal documents to safeguard the company’s interests.
* Maintain efficient contract management process in conjunction with relevant stakeholders.




Employment & People

* Advisory to HR function on a range of people matters.
* Supporting on contentious HR matters / exits.




Corporate M&A

* Experience in corporate due diligence exercises.
* Legal integration of acquisitions to K3 Capital Group.




Litigation Management

* Oversee and manage all litigation and disputes involving the company.
* Collaborate with and supervise outside counsel as needed to ensure effective representation.
* Working with the finance function on financial provisioning.




Risk Management

* Identify and address potential legal and regulatory risks to the organisation.
* Ensure the company’s policies and procedures are robust, up-to-date, and effectively mitigate risk.




Collaboration

* Foster a culture of collaboration, professionalism, and integrity.
* Work closely with other functions (e.g. People/HR, Finance, Operations) to address cross-functional legal needs.
* Act as a liaison with external legal advisors, regulators, and stakeholders as required.



Qualifications:

* Education: UK qualified solicitor with at least 8 years PQE, including international experience.
* Experience: Significant relevant legal experience, preferably in corporate, financial services or commercial advisory, in-house
counsel experience strongly preferred, or a combination of law firm and in-house roles.
* Knowledge: Strong understanding of corporate governance, compliance, acquisition agreements, contract law, and regulatory
frameworks.
* Regulated businesses: Experience in working in or advising regulated businesses (financial services/ law).
* Skills:
* Exceptional communication, negotiation, and interpersonal skills.
* Strong problem-solving and analytical capabilities.
* Proven ability to manage multiple priorities and work under tight deadlines.
