Job summary

Aventum Search is seeking an experienced lawyer to join our fund environment as Legal Counsel, positioned between the investment team and the capital side. You will structure and document funding transactions, including funding agreements, priority and waterfall provisions, security and settlement rights, and negotiate with external counsel, law firms and co-investors.

Responsibilities

• Structure and document funding transactions, including funding agreements, priority and waterfall provisions, security and settlement rights.
• Negotiate directly with external counsel, law firms and co-investors.
• Support portfolio-level financings and SPV-related arrangements; collaborate with fund formation teams on LPA terms and side letters.

Job description

A unique opportunity for an experienced lawyer to join a fund environment as Legal Counsel, sitting between the investment team and the capital side of the business, reporting to the Executive Management team. The role suits a lawyer that would like to be involved in transactional and commercial work, as you will structure and document funding transactions including funding agreements, priority and waterfall provisions, security and settlement rights, negotiate directly with other external counsel, law firms and co-investors, support portfolio-level financings such as NAV and asset-backed facilities, SPV formation and intercreditor arrangements, and work alongside external funds counsel on fund formation, LPA terms, side letters and distribution mechanics.

The role suits a lawyer qualified in England and Wales or an equivalent common law jurisdiction, with around 4 to 10PQE in structured finance, fund finance, securitisation, private funds, or credit funds. Experience from a recognised law firm or a relevant financial services entity.
