YOUR IMPACT

This role is for a Company Secretary within the Goldman Sachs (GS) EMEA Corporate Governance Team, based in Birmingham. The team manages the corporate administration of GS entities across EMEA, including UK and overseas entities. You will provide governance support, interact with stakeholders, and help expand the Birmingham team, which moved to a new workplace in September 2024.

RESPONSIBILITIES

  1. Providing company secretarial services, including documentation, attending, and minuting board/committee meetings.
  2. Coordinating with divisions like Risk, Compliance, and Legal to ensure effective governance.
  3. Supporting corporate transactions such as director changes, account approvals, and entity establishment or closure.
  4. Maintaining accurate records, processing filings with Companies House, and managing the PSC register.
  5. Validating and updating entity and director information regularly.
  6. Responding to management information requests, KYC inquiries, and regulatory reports.
  7. Communicating with senior members and external partners, including counsel and notaries.
  8. Improving team efficiency through process and system enhancements.

SKILLS / EXPERIENCE

  1. Qualified or Part Qualified Chartered Secretary/Governance Professional (GradCG) with 2-4 years of experience.
  2. Experience in a global financial or professional services company secretarial role preferred.
  3. Knowledge of Companies Act 2006 and corporate governance principles.
  4. Experience preparing for and minuting board and committee meetings.
  5. Practical experience with board software and management systems.
