Qualifications

• Qualified solicitor (England & Wales).
• Approximately 3-5 years PQE in an investment funds or asset management practice at a reputable law firm.
• Good working knowledge of fund structuring, limited partnership law, and relevant regulatory frameworks.

Responsibilities

• Assisting in advising fund managers and sponsors on the establishment and structuring of private investment funds (private equity, venture capital, real estate, credit, and infrastructure).
• Drafting, reviewing, and negotiating key fund documents including limited partnership agreements, private placement memoranda, subscription documents, side letters, and investment management agreements.
• Supporting advice to institutional investors on fund investments, co-investments, and secondary transactions.
• Assisting with advice on fund governance, investor terms, fee arrangements, and carried interest structures.
• Coordinating with tax, regulatory, and specialist teams on cross-disciplinary matters.
