Job Description:

Our client, an international management consultancy, seeks a candidate with some previous experience to join their small company secretarial team to support their busy schedule during a particularly active period, due to additional projects over the next 12 months. The company secretarial team of 5 professionals is part of the wider legal team, based in East Croydon. This full-time interim role offers a hybrid work model, with 2 days in the office and 3 days remote per week.

This role involves supporting the workload of a busy Company Secretariat, which provides advice and support to stakeholders across a large international group of companies. The position requires a company secretarial professional with strong communication skills.

Key duties include:

  1. Document Execution Process – managing incoming contracts, deeds, licences, leases, sub-consultancy agreements, etc., and processing them for execution by directors.
  2. Filing of executed Board Minutes, Resolutions, Bank Mandates, etc., in Minute Books.
  3. Filing of executed Powers of Attorney (PoAs) and other legal documents in SharePoint digital folders.
  4. Processing legal documents for notarisation, consularisation, and apostille.
  5. Processing purchase orders and invoices.
  6. Creating Structure Charts.
  7. Performing ad-hoc core company secretarial duties under supervision, such as annual compliance, confirmation statements, drafting board minutes, and shareholder resolutions.
  8. Assisting with filing statutory changes, appointments, and structural modifications of international subsidiaries, branches, etc.
  9. Preparing and updating powers of attorney using standard templates and external documents.
  10. Updating the Diligent Database and SharePoint system to record statutory changes.
  11. Providing KYC/DD/AML documentation as requested.
