At Eni, we are looking for a Head of Legal within Liverpool Bay CCS in London, UK. You will be responsible for the management and provision of legal services to Liverpool Bay CCS Limited (LBCCS). This includes oversight of a broad range of matters, particularly relating to the development of the Liverpool Bay CCS project (the Project) and ensuring the compliant operation of LBCCS as a regulated entity within the CCS business model (Regulated Entity Status).

About Liverpool Bay CCS Limited

Liverpool Bay CCS Limited, a member of the Eni S.p.A. group, is the owner and operator of the Liverpool Bay Carbon Dioxide (CO₂) Transportation and Storage (T&S) infrastructure. This project is a key component of the HyNet North West Industrial Cluster, aimed at reducing carbon emissions in the North West of England and North Wales. Liverpool Bay CCS Ltd works with hard-to-abate industries in the North West of England and North Wales, to transport captured CO₂ from various plants to safe and permanent storage beneath Liverpool Bay. The company is repurposing some of its existing infrastructure, including depleted reservoirs that have held natural gas for millions of years, to support economic growth in the region and help the UK achieve its Net Zero objectives. Main responsibilities:

  • Lead legal strategy and risk management aligned with LBCCS's business objectives.
  • Provide proactive, commercially focused legal support across LBCCS operations, Regulated Entity Status and the Project, including:
    • Regulatory compliance, structuring, financing, real estate, consenting and project build.
    • Drafting and negotiating key agreements (e.g. joint ventures, EPC, government, emitters, financing, divestment, decommissioning, intra-group services).
    • Monitoring and advising on legislative changes impacting LBCCS.
    • Supporting M&A and financing activities, including due diligence and transaction management.
    • Managing disputes (litigation, arbitration, mediation) and external counsel.
    • Overseeing external legal resourcing and budget compliance, including use of Legal Archives.
    • Drafting service agreements with Eni group affiliates and coordinating board approvals.
  • Liaise internally and externally with stakeholders, regulators, and legal advisers.
  • Participate in LBCCS management team meetings and strategic reviews.
  • Report and collaborate with Eni group Legal Professional Family, as permitted.
  • Ensure compliance with internal policies (e.g. Anti-Corruption, Code of Ethics, Law 231, SOX, HS&E).
  • Develop and manage legal documentation systems and knowledge resources.
  • Advise on segregation of LBCCS activities from Eni group affiliates.
  • Uphold LBCCS's Health, Safety & Environment standards and ethical compliance.

Skills and experience required:

  • Law degree with strong academic credentials.
  • Qualified solicitor or barrister.
  • Extensive post-qualification experience (ideally).
  • Fluent in English.
  • Strong knowledge and experience in the UK CCS industry and related projects.
  • Excellent legal expertise, particularly in CCS, commercial law, regulatory matters, and familiarity with UK real estate and planning law.
  • Experience providing legal support for M&A and financing transactions.
  • Proven ability to manage internal and external legal risks and resources.
  • Relevant management or equivalent experience.
  • Solid understanding of the transition from oil and gas to a low-carbon economy.
  • Excellent written and verbal communication skills.
  • Proficient in Microsoft Office Suite.
  • Passionate about the energy transition and CCUS sector.
  • Commercially astute, motivated, and proactive.
  • Able to work independently and collaboratively, with a high level of responsibility.
  • Strong negotiation and stakeholder engagement skills, with sound judgment and professionalism.
  • Flexible and adaptable to evolving business needs.
  • Capable of providing strategic legal leadership.
