About the Role

A fast-expanding group of companies is seeking a proactive, hands-on, and commercially minded professional with a proven track record of being a cornerstone of the shareholders' personal and business affairs, ensuring seamless governance, strategic growth, and robust compliance across multiple jurisdictions and regulatory frameworks.

Groups primary business lines include Financial Services, Trading Technologies, and Payments. Fluent English & Russian are essential skills to succeed in this role.

The finalist is ideally based in Cyprus, Malta, or the UAE, but we would consider candidates across the European Union. Position reports to one of the Co-Founders.

Core Responsibilities:

The Head of Family Office will have ultimate oversight and hands-on involvement in the following key areas:

Corporate and Legal Affairs:

  • Corporate Administration: Manage the corporate secretarial and administrative functions for all legal entities within the group, ensuring a good legal standing in all relevant jurisdictions, including but not limited to Cyprus, Malta, the UK, the BVI, the Cayman Islands, and the UAE.
  • Economic Substance: Guarantee that all entities meet their economic substance requirements in relevant jurisdictions, proactively managing and documenting activities to ensure full compliance.
  • Legal & Regulatory Oversight: Serve as the central point of contact for all legal matters, liaising with external counsel and ensuring the group's adherence to all applicable laws and regulations. This includes the regulatory obligations of investment funds domiciled in the Cayman Islands and BVI.
  • Group Structuring: Advise on and implement optimal corporate and tax structures to support the group's strategic objectives, including the establishment of new entities and the restructuring of existing ones.

Financial and Strategic Operations:

  • Tax Planning and Advisory: In collaboration with external advisors, develop and execute sophisticated international tax strategies to optimize the group's tax position and ensure compliance with all relevant tax laws.
  • Group Financing: Lead and manage all group financing transactions, including negotiating terms, drafting documentation, and overseeing the entire transaction lifecycle.
  • Investor Projects and M&A: Lead the evaluation, due diligence, and execution of new investment opportunities, mergers, and acquisitions. This includes financial modeling, deal structuring, and post-acquisition integration.

Shareholder and Family Affairs:

  • Shareholder Relations: Act as a trusted advisor to the three shareholders, facilitating communication, managing expectations, and ensuring alignment on key decisions.
  • Management of Shareholders' Affairs: Oversee a range of personal financial and legal matters for the shareholders, ensuring discretion and efficiency.

Qualifications and Experience:

The ideal candidate will possess:

  • A minimum of 7-10 years of experience in a senior leadership role within a family office, private practice (law or accounting), or a corporate services environment with a focus on multi-jurisdictional structures.
  • A professional qualification in law, accounting, or a related field (e.g., ACA, ACCA, CPA, or a qualified lawyer). A postgraduate degree, such as an MBA or LLM, would be highly advantageous.
  • Proven experience in managing corporate administration, economic substance requirements, and the regulatory aspects of investment funds.
  • Demonstrable expertise in mergers and acquisitions (M&A) transactions and complex financial transactions.
  • Exceptional communication, negotiation, and interpersonal skills, with the ability to build strong relationships with shareholders, external advisors, and internal teams.
  • A strategic mindset with a hands-on approach to problem-solving.
