Job Description:

DMJ are delighted to partner with Lincolnshire Co-op in their search for a new General Counsel and Group Secretary.

This is the unique opportunity to sit on the executive board of one of the most successful independent consumer co-operatives in the UK.

Owned by their 300,000 members, the people of Lincolnshire andsurrounding counties for more than 160 years, Lincolnshire Co-op have a businessportfolio including property development, management, acquisition anddisposal.

In this role, as General Counsel, you will:

Develop and manage relationships with external law firms and ensure that any external legal resource is appropriate for the advice sought and cost effective.

Provide the necessary legal input on all transaction and contractual negotiations, responsible for protecting the Society’s interests ensuring that proper due diligence is exercised.

Develop the Society’s legal knowledge and contract management systems including ensuring complete and accurate copies of contract documentation are kept and are accessible.

Advise and support to ensure appropriate legal advice and guidance is being obtained across support areas including procurement, employment, health and safety, transport and others.

Horizon-scan to define the legal and regulatory landscape in which the Society operates.

Ensure effective processes and systems are in place for the execution of contracts and other legal documents by authorised signatories.

Protect and enhance the Society’s reputation by providing timely and appropriate legal services.

Develop the Society’s legal knowledge management and horizon-scanning capabilities.

Show visible and effective leadership to embed an open and inclusive culture which promotes the Society’s values of being Helpful, Inspiring and Trustworthy.

Provide high quality legal input to the deliberations of the Board and the SLT.

Co-ordinate the organisation’s response to litigation or any potential legal challenges.

Provide excellent judgment and will navigate a complex stakeholder landscape.


As Company Secretary you will:

Provide high quality company secretarial and corporate governance services including subsidiary businesses (acting as the Company Secretary for the Society’s subsidiary businesses and ensuring that appropriate governance arrangements are in place).

Be responsible for the provision of director on-boarding and induction training.

Support all aspects of the process leading to the appointment of new directors.
