Job summary

A leading consulting firm in Theale is seeking an experienced Governance Manager to provide support to the Company Board and its Committees. You'll ensure compliance with legal regulations while managing governance frameworks and stakeholder relationships. The ideal candidate has company secretarial knowledge, strong organizational skills, and experience in compliance. This role is hybrid with 3 days onsite work.

Job description

In this role, you will act as a governance and compliance specialist, providing dedicated support to the Company Board and its Committees. Key responsibilities include ensuring compliance with competition law and other legal and regulatory requirements, while working closely with shareholder legal and compliance teams.

You will also lead the continued development and delivery of the company's Governance and Compliance frameworks, taking ownership of key initiatives such as new training programmes, policy development, and procedure enhancements.

Key Responsibilities:

Board & Committee Support

  • Coordinate Board and Committee meetings, including scheduling, agenda preparation, and minute-taking.

  • Track actions and follow up with stakeholders.

  • Maintain statutory registers, filing systems, and company records.

  • Support share transactions, resolutions, and legal document preparation.

  • Manage annual training records and ensure information is handled confidentially.

Governance & Compliance

  • Provide secretariat support for governance boards.

  • Ensure compliance with UK Corporate Governance Code, Companies Act, and competition law.

  • Maintain governance frameworks, statutory filings, and compliance controls.

  • Support due diligence, KYC processes, and policy updates.

  • Assist with risk management and regulatory reporting.

  • Lead automation and streamlining of governance processes.

Stakeholder Engagement

  • Liaise with shareholders, senior management, and legal advisors.

  • Ensure compliance sign-offs and facilitate effective communication between key stakeholders.

  • Build strong relationships with compliance, legal, and risk teams.

Reporting & Risk Management

  • Contribute to monthly reporting, maintain the corporate risk register, and support implementation of mitigation strategies.

Insurance

  • Administer company insurance coverage and compliance in coordination with the risk team.

People Management

  • Manage team performance, workload, and development.

  • Act as escalation point and ensure high standards are maintained.

Person Specification:

Required:

  • Company Secretarial knowledge.

  • Understanding of competition law.

  • Relevant qualification in Corporate Governance.

  • Strong organisational and time management skills.

  • Excellent communication, attention to detail, and confidentiality.

  • Proactive team player with analytical and problem-solving skills.

  • Knowledge of UK company law and governance.

  • Experience in compliance or corporate governance.

  • Proficiency in Microsoft Office.
